Winston is well regarded for deep and broad experience advising clients in the development, construction, financing and refinancing, acquisition, and operation of major infrastructure assets, including several award-winning deals and public-private-partnership (PPPs or P3s) projects in North America, Latin America, and Europe. Recognized for our ability to “take complex issues and boil them down to pragmatic solutions” (Chambers USA 2023), our team represents a diverse mix of participants and stakeholders in a broad range of investments and non-recourse/limited recourse financings, and we have experience working on many of the most complex projects, within aggressive time frames, while employing inventive solutions. Likewise, our lawyers help to identify and quantify roadblocks and risks at an early stage, so that we can help our clients—which include developers and sponsors, a full range of lenders and investors, project owners and operators, governments and their agencies, and other project counterparties—evaluate and, to the extent possible, mitigate or eliminate risk.

We bring decades of experience across the full spectrum of U.S. and non-U.S. infrastructure projects. Our service platform is structured around an integrated team of practitioners that have extensive experience in finance, acquisitions and dispositions, construction, commercial agreements (including EPC), environmental law, federal and state regulation, litigation, tax, and leasing and real estate, among other areas, to support every aspect of an infrastructure project. Few firms in today’s market can match our full-service approach.

Having been named IJGlobal’s 2021 and 2023 “Infrastructure Legal Adviser of the Year – North America,” our team is widely recognized as among the market’s elite. Our team differentiates itself through our practitioners’ deep understanding of the market standards and commercial factors that impact all aspects of infrastructure projects. This includes related financial, contractual, and regulatory issues, as well as tax-advantaged asset transfers, hedging strategies, and specialized tax-sensitive deal structures, such as like-kind exchanges. We add value by regularly playing active roles in coordinating with other project professionals, such as independent engineers, financial advisors, environmental consultants, and consultants in fuel supply, power marketing, and insurance. Our ability to integrate the various aspects of each project effectively, and marshal the appropriate legal team, ultimately enhances the efficiencies and value that we provide our clients.

Key areas of our team’s experience include road, bridge, and tunnel projects. In the past three years, we have advised on P3 deals, financings, acquisitions, and other investments with respect to more than 15 projects. We are recognized as among the most active and highly regarded team in sport, stadium, and entertainment facility financings. We have led transactions involving some of the most iconic venues, including the multi-billion-dollar construction and permanent financings for SoFi Stadium in Los Angeles, the €1B renovation of Santiago Bernabéu Stadium (home of Real Madrid), the US$2B+ financing of the MSG Sphere performance venue in Las Vegas, and the award-winning financing for the construction of Climate Pledge Arena in Seattle.

We have deep experience in the energy sector, having worked on projects focused on energy transition, sustainability, and climate change, including those that span the full complement of renewable and conventional resources. These projects include advising on several university-led distributed energy projects; the largest climate change/resiliency project in the world—the US$1.18B Fargo-Moorhead Metropolitan Area Flood Risk Management project; and numerous projects involving generation and transmission assets.

We have exceptionally deep experience covering commercial and social infrastructure projects, including government buildings, courthouses, and criminal justice facilities; schools and higher education buildings; military housing; digital infrastructure and telecoms; rail and mass transit; water and wastewater; oil and gas; airports; and port projects.
