Winston Serves as Lead Counsel to GCP Capital Partners in New Continuation Vehicle
Winston & Strawn served as legal counsel to GCP Capital Partners (GCP) in connection with the formation and closing of a single-asset continuation vehicle involving ALKEME Insurance. Led by the PE and Funds Group practices, the team advised GCP throughout the transaction which included substantial newly committed capital to fund portfolio company ALKEME’s continued growth (the single asset). The fund raise was backed by a syndicate of institutional investors where Apollo S3 served as the lead investor. The deal signals a growing trend: the strategic use of continuation vehicles to extend sponsors’ ownership in high-performing portfolio companies. This deal also reflects a broader narrative in middle-market private equity: firms that started small are now scaling rapidly, and they’re turning to sophisticated liquidity solutions to fuel that growth.

Represented NTE Mobility Partners Segments 3 LLC (NTE3), the concession company operating, maintaining, and collecting tolls on the North Tarrant Express Segments 3A, 3B, and 3C Facility in Fort Worth, Texas (the Project), in connection with a senior financing consisting of approximately $457 million of senior forward delivery bonds. NTE3 will issue these bonds in three series, the proceeds of which will be applied, among other things, to the repayment of a portion of existing debt related to the construction of the Project.

In December 2022, Winston convinced Judge Albright of the W.D. Tex. to reverse his tentative construction and invalidate four patents based on means-plus-function indefiniteness at claim construction in the district court. Winston also persuaded Judge Albright to deny Fintiv’s motion for reconsideration the next month. Fintiv appealed to the Federal Circuit, which affirmed the district court in a precedential opinion in April 2025. Winston overcame a significant amount of sleight of hand from Fintiv, which continually shifted the purported structure of the “payment handler” term through claim construction, its motion for reconsideration, and appellate briefs, muddying the record. Ultimately the opinion clearly distinguished the factual record from that in Dyfan v. Target, curbing patentees abilities to argue that all code or applications are a “class of structures” and not indefinite under 112(f). The Federal Circuit affirmed four of the five patents Winston invalidated for PayPal, effectively foreclosing Fintiv’s ability to revive these patents for assertion. Winston also invalidated the fifth patent at the PTAB; Fintiv’s appeal of that Final Written Decision is pending.
