Nancy Gerrie advises employee benefit plan sponsors on plan design, amendment, termination, administration, governance and ERISA fiduciary matters affecting tax-qualified and nonqualified retirement and deferred compensation plans. She often represents clients before the Internal Revenue Service, Pension Benefit Guaranty Corporation, and Department of Labor. Nancy also advises clients on employee benefits in captive insurance arrangements. 

Experience

  • Advised an $8.6 billion revenue global consumer goods company on employee benefit matters in connection with the company’s split into two separate, publicly held companies, and assisted with the restructuring of the company’s overall retirement program, including maintenance in the U.S. qualified plans of employer stock fund comprising shares traded solely on a non-U.S. exchange.
  • Counseled a consortium of 27 institutions of higher education on ERISA, tax, and other matters relating to the use of a captive insurance company to reinsure employee health insurance risks—saving hundreds of thousands of dollars in premium costs.
  • Recommended and advised on conversion of 401(k) employer stock funds into employee stock ownership plans (ESOPs) for a number of companies, including the largest specialty apparel retailer in the U.S., in order to deduct dividend payments—resulting in millions of dollars in annual savings.
  • Counseled a multinational energy management corporation on establishment of a global employment company to provide standardized compensation, benefits and incentives to the company’s internationally mobile employees.
  • Advised a $17 billion revenue multinational engineering and construction company on the restructuring of its governance committees and the integration and merger of its numerous employee benefit plans following the company’s acquisition of its largest competitor.
