Our Debt Finance team focuses on all aspects of leveraged finance and asset-based lending both internationally and domestically. Our clients include leading international investment banks, commercial banks, direct lenders, credit funds, insurance companies, CLOs, and other institutional investors, as well as private equity funds, hedge funds, and corporates, in connection with senior and junior debt financing.

We advise clients that originate, manage, and invest in broadly syndicated and middle market corporate loans in connection with their fund formation and capital markets fund financing activities. Our experience includes structuring and formation of CLOs, registered funds, hedge funds, listed funds, private credit funds, managed accounts, synthetic funds, SBICs, and onshore and offshore special purpose investment vehicles. Our experience spans the complete spectrum of services, including warehouse, leverage, and subscription facilities and ongoing portfolio support. Our Capital Markets Practice has extensive experience in debt and equity offerings, spin-offs, split-offs, and carve-outs, as well as securities compliance and corporate governance.

We have a substantial derivatives and structured products practice that represents swap dealers, asset managers, financial intermediaries, hedge funds, national exchanges and end-users in a broad array of transactions ranging from highly structured transactions to more traditional trading or hedging transactions and in regulatory and enforcement issues related to commodities and derivatives.

Our structured finance team is a recognized leader in a wide range of key asset classes within the structured finance industry, with a particular focus on bespoke structures and emerging and/or “esoteric” assets, including residential and commercial PACE; aircraft, vessel, and railcar finance; fintech and marketplace lending; CLOs; specialty finance; consumer and business lending; energy structured finance (including solar finance and reserve-based finance); CMBS; RMBS; derivatives and structured products; lease and operating asset finance; trade receivables; litigation settlement financing; and life settlements.

As a result, we frequently are called upon to develop and rethink the structures and documents that the market employs in aggregating and funding these and other emerging and mature asset types. Our tax team is peerless in its mastery of securitization and structured-fund tax issues and its capacity to identify (and explain in plain English) nuanced and pragmatic solutions to challenging problems.

Our Transportation Finance attorneys are leaders in the field of structuring, negotiating, and closing both simple and complex financings of all types of transportation assets. We know and understand the full array of such assets—aircraft, aircraft engines and spare parts, ships, railroad rolling stock, containers, land-based fleets, and other assets used in transportation. We are experienced in financing those assets in the full range of debt, leasing, and securitization structures, as well as in repackaging and restructuring existing financings of transportation assets. Our clients include banks, underwriters, placement agents, issuers, lenders, and liquidity providers in such financings, as well as all types of asset users. We are able, through our U.S. and London offices, to advise clients on transactions involving both U.S. and English law.
