A team led by Alex Roggio, Brad Mandel, and Marianna Wonder represented Apogem Capital as lead investor in connection with Encore Consumer Capital’s single-asset continuation vehicle for Lion Beverages, LLC, a premier full-service contract manufacturer of specialty beverages. The transaction builds on Apogem’s growing track record of anchoring GP-led secondary transactions for high-conviction middle market companies. The continuation vehicle closed with over $150 million in commitments, providing liquidity to Encore Fund III limited partners while supporting Lion’s continued expansion.

Winston Takes the Checkered Flag After “Massive Win” Settlement
Winston squared off in the W.D.N.C. against lawyers for NASCAR in an antitrust lawsuit brought on behalf of racing teams Front Row Motorsports Inc. and 23X1 Racing LLC—the team co-owned by Michael Jordan and driver Denny Hamlin—alleging monopolization of the market for premier stock car racing teams. On December 11, 2025, nine days into trial and the morning after the plaintiffs rested their case, the parties jointly announced a settlement. Jeffrey Kessler, Jeanifer Parsigian, and Danielle Williams were recognized by American Lawyer with its top “Litigator of the Week” honors on December 19, 2025, for this historic settlement.

The Health Insurance Portability and Accountability Act of 1996 (HIPAA) established U.S. regulations to protect the privacy and security of individual health information. The healthcare security law creates these specific protections through both the HIPAA Privacy Rule and the HIPAA Security Rule. The Privacy Rule has set national standards for the protection of certain types of health information. The Security Rule established security standards for protecting consumers’ health information that is stored or transferred electronically. The healthcare Security Rule outlines the operational safeguards that organizations must implement to keep protected electronic health information secure.

What Is Distributed Ledger Technology (DLT)?
Distributed ledger technology (DLT) is a database of information that’s shared and duplicated across a network of computers in different locations. In contrast to a centralized ledger, it’s a flexible system of recording information. The information on the ledger, or record, is updated by those participating in the network, rather than by a central authority. The ledger can be accessible to some or all users, and the information stored on it can be verified and audited. Peer-to-peer transfers that have value can be recorded on a DLT. The value transferred could be money, securities, or even personal information.
