Our REIT attorneys are experienced in the planning and implementation of a variety of organizational and real estate ownership structures used for REIT formations and transactions. We understand the complex requirements of asset ownership and character of income that must be met to qualify for pass-through tax treatment under the Internal Revenue Code. Our team has extensive experience with IPOs, private placement of debt, securitization of debt, public/private preferred and common equity offerings, PIPE transactions, recapitalizations, trust preferred securities, asset purchase and dispositions, §1031 exchanges, and mergers and acquisitions. Winston Represented Amphenol in Definitive Agreement to Acquire Trexon
Winston represented Amphenol Corporation (NYSE: APH), one of the world’s largest designers, manufacturers, and marketers of electrical, electronic, and fiber optic connectors and systems, as well as coaxial and high-speed specialty cables, in its definitive agreement to acquire Trexon, a leading provider of high-reliability interconnect and cable assemblies primarily serving the defense market. The acquisition is valued at approximately US$1B, subject to customary post-closing adjustments. Amphenol will finance the transaction with cash on hand and expects to close in the fourth quarter of 2025.

NTE3 will issue these bonds in three series, the proceeds of which will be applied, among other things, to the repayment of a portion of existing debt related to the construction of the Project.

Andy White Highlights Real Estate Sectors to Watch in 2026 with Law360
Winston & Strawn partner Andy White spoke with Law360 to discuss trends and sectors they expect to see strengthen in 2026. Andy highlighted industrial outdoor storage (IOS) as a sector that is experiencing growth. Along with megaprojects like data centers that may need more industrial space nearby, or logistics hubs that need space to store vehicles and cargo, reshoring of manufacturing could contribute to growth in IOS, he told Law360.“It’s anything from truck terminals, container storage yards, tractor trailer parking, equipment sales and maintenance,” he said. “I work with a number of operators in that space, and it's been continuing to grow.”Unlike traditional real estate, the value for IOS is not tied to the buildings erected on the land, Andy explained.“The valuation is almost tied more to the square footage that's not developed by permanent improvements, as opposed to traditional industrial properties or other properties where they're focused on the square footage of a building,” he said. “It plays an obviously crucial role in the logistics chain.”

DTCC Partners with Digital Asset to Tokenize DTC-Custodied U.S. Treasury Securities
On December 17, 2025, the Depository Trust & Clearing Corporation (DTCC) announced a partnership with Digital Asset Holdings (Digital Asset), a developer of distributed ledger technology, to tokenize a subset of U.S. Treasury securities custodied at its subsidiary, the Depository Trust Company (DTC), using Digital Asset’s Canton Network. This announcement follows DTC’s receipt of a No-Action Letter from the U.S. Securities and Exchange Commission (SEC) on December 11, 2025, providing no-action relief allowing DTC to offer a pilot tokenization service for certain highly liquid assets.

ESG in finance can refer to, among other things, financing tools such as Green, Social, and Sustainability Bonds and similar ESG-related debt instruments, as well as the separate discipline of ESG Investing. ESG stands for Environmental, Social, and Governance. Investors are increasingly applying these non-financial factors as part of their analysis to identify ESG-related risks and opportunities in particular investments. ESG metrics have not historically been included in financial reporting, though companies are increasingly making disclosures in their annual report or in a standalone sustainability report, and regulatory requirements for such disclosures, including from the SEC, are expanding.
