End of the Line: Winston Wins Unanimous Supreme Court Victory Against NJ Transit
In a unanimous decision authored by Justice Sotomayor, the U.S. Supreme Court held that NJ Transit is not an arm of the State of New Jersey and therefore is not entitled to sovereign immunity. The ruling means that plaintiffs injured by NJ Transit outside of New Jersey—such as in Pennsylvania and New York—may pursue claims in the courts of the states where their injuries occurred. The court adopted Winston’s position that state-created corporations that are formally liable for their own judgments are not arms of the state, reversing the Pennsylvania Supreme Court’s dismissal of Cedric Galette’s negligence suit while affirming the New York Court of Appeals’ decision allowing Jeffrey Colt’s case to proceed.

Banesco USA acquires BayFirst Financial’s SBA loan division business
Winston represented Banesco USA in its acquisition of BayFirst Financial’s SBA lending business. Through the acquisition of the SBA lending business and a portfolio of SBA 7(a) loans, Banesco USA gains the infrastructure, expertise, and enhanced capabilities to deliver SBA lending on a national scale. It marks a significant step in the bank’s growth strategy, enabling it to expand its lending nationally, enhance the ability to better serve small and mid-sized businesses, and diversify its offerings. Banesco USA is an independent Florida state-chartered bank and is part of the Banesco International financial brand of banks operating in multiple countries. Enrique Martin, partner in Winston’s M&A Practice group, led the transaction for Banesco USA and was assisted by counsel Jennifer Olivestone and associate Caitlin Calvo.

Winston Closes Financing of the Landmark San Juan Bay Cruise Terminals Project
Winston represented the initial purchaser of US$110M of tax-exempt bonds (including US$42.6M of forward delivery bonds) and the institutional investors that purchased US$77M of privately placed taxable bonds issued by the Puerto Rico Industrial, Tourist, Educational, Medical and Environmental Control Facilities Financing Authority (known by its Spanish acronym “AFICA”). The proceeds were loaned to San Juan Cruise Port LLC (a subsidiary of Global Ports Holding Plc, the world’s largest independent cruise port operator) to finance a project to repair, expand, finance, maintain, and operate certain marine cruise terminals (consisting of Pier 1, Pier 3, Pier 4, Piers 11 to 14, and the Pan American Piers, along with the quay wall and walkways between Pier 1, Pier 2, Pier 3, and Pier 4) in the San Juan Bay pursuant to a 30-year concession.

Court Ruling Curtails Administration’s Ability to Terminate Grants Based on New Priorities
On March 24, 2026, the U.S. District Court for the Northern District of Illinois decided that federal grantees can challenge grant terminations by the Administration if at the time of termination the grantees were compliant with Administration policies that were in place at the time the grant was awarded, as opposed to new rules or policies subsequently imposed by the Trump Administration. This decision could aid federal contractors and grantees in their legal challenges to the numerous contract and grant terminations, which have occurred since January 2025, based on alleged failure of the contracts or grants to align with or effectuate new Administration programs, policies, goals, and/or priorities, including, but not limited to, those relating to diversity, equity and inclusion (DEI) programs and policies.

Digital wallets hold bitcoin addresses, which are unique indicators consisting of alphanumeric characters. Those making purchases can start a transfer request from their bitcoin address.
