Winston Closes Financing of the Landmark San Juan Bay Cruise Terminals Project
Winston represented the initial purchaser of US$110M of tax-exempt bonds (including US$42.6M of forward delivery bonds) and the institutional investors that purchased US$77M of privately placed taxable bonds issued by the Puerto Rico Industrial, Tourist, Educational, Medical and Environmental Control Facilities Financing Authority (known by its Spanish acronym “AFICA”). The proceeds were loaned to San Juan Cruise Port LLC (a subsidiary of Global Ports Holding Plc, the world’s largest independent cruise port operator) to finance a project to repair, expand, finance, maintain, and operate certain marine cruise terminals (consisting of Pier 1, Pier 3, Pier 4, Piers 11 to 14, and the Pan American Piers, along with the quay wall and walkways between Pier 1, Pier 2, Pier 3, and Pier 4) in the San Juan Bay pursuant to a 30-year concession.

Erin Weber Highlights Upcoming Fifth Circuit Rehearing of No Surprises Act Challenge in Law360
Winston & Strawn partner Erin Weber was featured in a Law360 article discussing the Fifth Circuit’s upcoming en banc rehearing of a challenge to the No Surprises Act (NSA), which was designed to protect patients from unexpected out-of-network medical bills by establishing an arbitration process between insurers and providers. The full court agreed to rehear the case after a three-judge panel largely upheld the law in 2024. The consolidated suit, led by the Texas Medical Association, argues that the federal government unlawfully implemented a 2021 rule governing how payment amounts are calculated in the Independent Dispute Resolution (IDR) process.

Cryptocurrency is generally defined as a digital or virtual currency that uses cryptography for security and operates independent of a government, central bank, or similar authority. Cryptography is used to regulate the release of currency units and to verify financial transactions. Users of cryptocurrency generally send to each other through a peer-to-peer network, while remaining anonymous. The currency transfers occur through public and private keys. Every transaction is a file that includes the public keys of the sender and the recipient, as well as the amount of currency transferred.
