Winston Represents Grupo Calleja in its US$1.2 billion Acquisition of Almacenes Éxito
Winston & Strawn acted as U.S. counsel to Grupo Calleja of El Salvador in connection with its significant, transformative acquisition of Almacenes Éxito, a Colombian retail company with over 2,606 stores in Colombia and South America. This is one of the first dual tender offer for equity securities of a publicly traded company in Colombia. Éxito is listed on the NYSE and the Colombian Stock Exchange. This complex transaction involved the negotiation and execution of a pre-agreement with Casino and related affiliates. Grupo Calleja acquired 86.84% of Exito’s issued and outstanding shares for a purchase price well in excess of US$1.2 billion.
