Michael focuses his practice on a broad range of complex business matters, including mergers and acquisitions, private equity transactions, corporate governance, and other general corporate matters.

Michael has counseled clients and their portfolio companies in M&A transactions, equity investments, and issuances of securities, and he regularly advises clients on corporate and operational matters across a variety of industries. He has past experience in bankruptcy matters, representing clients in in-court and out-of-court restructurings.

Before joining Winston & Strawn, Michael served as a judicial law clerk to the Honorable Sandra R. Klein in the United States Bankruptcy Court for the Central District of California.

  • Represented Delicato Family Wines, a California-based winery, in its announced partnership with Francis Ford Coppola Winery, a long-time leader in the wine industry.
  • Represented VMG Partners, a private equity fund investing exclusively in branded consumer companies, in connection with the following:

    • Sale of Ghost Lifestyle LLC and Ghost Beverages LLC, disruptive lifestyle sports nutrition businesses anchored by a leading ready-to-drink energy brand GHOST® Energy, to Keurig Dr Pepper (NASDAQ:  KDP)

    • Sale of Lily’s Sweets, the high-growth maker of low-sugar, better-for-you confectionery products, to The Hershey Company (NYSE: HSY).

    • Investment in [solidcore], a nationwide boutique fitness company that provides pilates-based resistance training.
    • Investment in Undefeated Tribe, a Crunch Fitness Franchisee with locations in Texas and Oklahoma.
  • Represented Diversis Capital, a private equity fund primarily investing in software and technology-enabled organizations, in connection with the following:
    • Acquisition of ALM Works, a developer of the structure for Jira software suite that enables project and program managers to make better decisions, work more efficiently, and deliver predictable results.
    • Acquisition of Roadmunk, a provider of end-to-end roadmapping solutions for building and communicating product strategy.
  • Represented Pacific Avenue Capital Partners, a private investment firm focused on corporate divestitures and other special situations, in connection with the add-on acquisition by portfolio company Emerald Textiles, the largest provider of outsourced linen management services and specialty products to hospitals, clinics, and other healthcare facilities in the Western United States, of the West Coast assets of Angelica Corporation, a national healthcare linen services provider.
  • Represented Consortium Brand Partners, a New York-based private equity fund managing and investing in global brands and diverse teams across various consumer sectors, in connection with the following:
    • Its acquisition of the Jonathan Adler brand and certain related assets.
  • Represented Amphenol Corporation (NYSE: APH) in its acquisition of TPC Wire & Cable Corp., a/k/a Trexon, a leading supplier of high-performance, heavy-duty wire and cable products designed for demanding industrial applications and rugged environments.
  • Represented Ducommun Incorporated (NYSE:DCO) in its acquisition of BLR Aerospace, a leading provider of aerodynamic systems that enhance the productivity, performance, and safety of rotary- and fixed-wing aircraft on commercial and military platforms.
  • Represented National Waste Partners, LLC and its subsidiary Compactor Rentals of America, LLC, a leading lessor of compactor and bailer equipment, in their sale to Kinderhook Industries.
  • Represented Bestige Holdings, LLC, a private equity fund focused on building and developing a portfolio of investments in high-potential businesses, in connection with the following:
    • Acquiring a new platform company, On Top Roofing, LLC, with the goal of creating a leading roofing contractor in the intermountain region of the United States.
    • Acquisition of Pet Medic, a veterinary services business with locations in Nevada.
  • Represented Century Park Capital Partners, a private equity fund that invests in consumer products, chemicals, medical products, business services, and industrials, in connection with its purchase of NCP Coatings, a leading manufacturer and distributor of paints and coatings for the military, industrial, commercial and forestry end markets.
  • Represented Beach Point Capital Management, a Santa Monica, California-based investment manager specializing in credit-related investments, on a minority equity investment into ReachOut Healthcare Holdings Inc. (known as Smile America Partners), a leading provider of mobile dental services based in Phoenix, Arizona.
  • Represented Atlas Holdings in the launch of standalone companies Stryten Manufacturing and Element Resources following its acquisition in bankruptcy of substantially all the operating assets of the Americas' business of Exide Technologies, LLC.
