Khalif’s practice focuses on advising private investment sponsors in connection with the formation, structuring, fundraising, regulatory compliance, and ongoing operational matters of private investment funds.

Khalif also advises institutional investors on market terms and in connection with direct co-investments, secondary transactions, funds-of-one, private equity funds, real estate funds, funds of funds, and other alternative asset classes. He also advises private equity sponsors and their portfolio companies in equity and debt financing, corporate governance, venture capital transactions and other types of alternative investments.  

Before joining the firm, Khalif worked for a global law firm as a Corporate associate and a boutique law firm focused on private equity transactions. During law school, Khalif was a judicial intern to the Honorable E. Clayton Scofield III and the Honorable Catherine M. Salinas, each a Magistrate Judge of the United States District Court for the Northern District of Georgia.

Education

Khalif earned his JD from Wake Forest University School of Law and his MBA from Wake Forest University School of Business in 2018, where he served as a Research Assistant and Student Clinician. He received his BA in English & International Affairs from the University of Georgia in 2013.
