Romina concentrates her practice on energy and infrastructure, M&A, project finance, and restructurings & workouts in Latin America. 

Romina is an Foreign Legal Advisor and a member of the firm’s Latin America practice. She joins us from a market-leading Mexican law firm with one of the largest groups of corporate finance experts in Mexico. She has experience across industries including renewable energy, conventional power, airports, and hospitality, among other industries. She was also a teaching assistant at the Universidad Iberoamericana in Mexico from 2022-2023. Romina is a native Spanish speaker also fluent in English and German.

Key Matters

  • Represented VINCI Airports in connection with the negotiations and execution of the financing documents for the indirect acquisition of 29.99% stake in Grupo Aeroportuario del Centro Norte (OMA), a Mexican airport concessionaire of 13 airports listed in Mexico with ADSs on the NYSE for US$1.17B.
  • Represented a group of senior bondholders as lenders in connection with the DIP (debtor in possession) financing of Grupo Aeroméxico, as part of a US$1.6B Chapter 11 bankruptcy proceeding conducted in the USA.
  • Represented a Chinese company in connection with due diligence matters and structured acquisition processes for several solar projects in Mexico. The Chinese company is principally engaged in the electricity business, which provides technology of electrical power generation, and water and electricity engineering maintenance services.
  • Represented Macquarie Asset Management in connection with the acquisition by a Macquarie-led consortium of Reden Solar from InfraVia Capital Partners and Eurazeo for €2.5B, for a 762MW solar power plant operational portfolio and a 15 GW development pipeline, including three operational projects in Mexico.
  • Represented Indorama Ventures, in connection with the acquisition of 49% interest of Indorama Ventures Ecomex and Indorama Ventures Ecomex Services, respectively, to be wholly owned by Indorama Ventures Polymers (through certain entities), unwinding the joint venture.
  • Represented a group of creditors under a US$710M loan facility in connection with the restructuring of a 526MW gas-fired combined cycle power generation project in Texas that sells electricity and capacity to the Mexican market and CFE.
  • Represented multiple investors in connection with the acquisition of the Zoëtry Paraíso de la Bonita Riviera Maya hotel, located in Puerto Morelos, as well as in the acquisition of the Now Emerald hotel, located in Cancún, Mexico.
  • Represented a multinational company in connection with the bid to acquire Atlas Renewable Energy from Actis.

In 2024 Romina graduated with an LL.M. from the New York University School of Law, where she earned the Dean’s Graduate Award. In 2020 she received her JD equivalent from Universidad Iberoamericana in Mexico City, Mexico.
