Ashley focuses her practice on a broad range of employee benefits and executive compensation matters for both public and private sector clients.
Ashley assists clients with the design, implementation, and administration of executive employee agreements, severance agreements and plans, equity and compensation arrangements, and employee stock purchase plans. She advises publicly traded companies (both newly public and mature), boards of directors, and compensation committees on the rules governing compensation-related disclosures, periodic reporting, equity registration requirements, and compliance with related rules under stock exchange listing standards. She also provides support in preparing compensation-related disclosures in annual proxy filings and in connection with initial public offerings and transaction-related filings.
Ashley has experience advising on the employment, labor, compensation, and employee benefits aspects of mergers and acquisitions and securities transactions, and maintains a practice advising clients on employment issues.
Ashley also has significant in-house experience. Prior to joining Winston, Ashley was the Associate General Counsel of an accounting firm headquartered in New York City. Additionally, during her tenure at Winston, she has been seconded to a large financial institution.
Ashley received her J.D. from the Fordham University School of Law, where she was the senior notes editor for the Fordham Journal of Corporate and Financial Law. She received her B.A., cum laude, from the University of Pennsylvania.
