Alan Hoffman is a corporate partner in the firm’s New York office who concentrates his practice in corporate lending, securities, private equity, mergers and acquisitions, structured finance, project finance, infrastructure, private placements, public finance, investment funds, and general corporate matters.
Mr. Hoffman has extensive experience representing clients in lending, infrastructure, and project finance transactions involving independent power and cogeneration facilities, real estate, aircraft, transportation assets, and various other tangible and intangible assets. He has represented institutional lenders, commercial banks, insurance companies, equity investors, investment banks, and project sponsors. Mr. Hoffman has represented clients in 144A transactions and private placements involving investment grade and sub-investment grade issuers. He has drafted and negotiated all documentation related to project financings, including contracts related to engineering and construction, fuel procurement, power purchase agreements, transportation, operations and maintenance responsibilities, and the provision of ancillary services.
Mr. Hoffman also has extensive experience representing clients in private equity, mergers and acquisitions, structured finance, and securitization transactions, and works extensively in developing and implementing sophisticated products that involve complex accounting and tax structures. He has handled transactions involving REITs, registered investment companies, bond insurers and other credit enhancers, public utilities, alternative energy companies, broker/dealers, and investment advisers. Mr. Hoffman has developed financing structures designed to monetize long-term contracts and securitize various types of assets. He also represents clients in various types of derivatives transactions and regularly advises Fortune 500 companies on general corporate matters.
His representative clients include Merrill Lynch Bank of America, Deutsche Bank, Goldman Sachs, UBS, The Bank of Nova Scotia, Juniper Capital, Versus Capital, Stryker Corporation, Mariner Partners, Commonwealth Bank of Australia, and large insurance companies.
Activities
Mr. Hoffman is a member of Winston & Strawn’s Executive Committee, the Partner Compensation Committee, and the Diversity Committee. He also is a member of the New York State Bar Association. In addition, he is a member of the American College of Investment Counsel.
Education
Mr. Hoffman received a B.A. in English and History, summa cum laude, from SUNY-Albany after completing his first three semesters at Purdue University. He received a J.D. from Georgetown University Law Center.
