Paul Amiss specialises in SPACs, M&A, equity capital markets, joint ventures, private equity, and venture capital investments. He has advised public and private companies and permanent capital investment vehicles, entrepreneurs, and other strategic investors on their key transactions across a wide range of sectors. Such transactions have included acquisitions, disposals, joint ventures, private equity investments (including acting for fundless sponsors), venture capital investments, initial public offerings, and secondary securities offerings on the London Stock Exchange (Main Market and AIM). He has particular experience in advising on SPACs and cross-border transactions.

Highlights of Paul’s recent work include representing: 

  • Advised the UK based sponsor of special purpose acquisition company Broadstone Acquisition Corp, on its US$300m IPO on the New York Stock Exchange. (September 2020).
  • Vanbrugh Trustees, the owners of The Blenheim Estate, on its acquisition of UK house builder Pye Homes Ltd. (December 2018).
  • General American Capital Partners on its €100 million acquisition of Football Club des Girondins De Bordeaux SA (Bordeaux FC), in an independent sponsor transaction that was backed by King Street Capital Management and Fortress Investment Group (October 2018).
  • The family offices of Stephens and Van Tuyl on their US$100 million investment into Firethorn Trust a real estate investment company (July 2018). 
  • Behavioural science business Mind Gym plc on its £145 million AIM IPO and related £50 million vendor placing (June 2018). Click here for further information on this matter. 
  • The management of UK-based housebuilder Vanderbilt Homes Limited on its £50 million restructuring and refinancing by Cheyne Capital (April 2018). 
  • RFC Ambrian in its capacity as nominated advisor and broker to gold exploration and development company Panthera Resources plc on its AIM IPO (Jan 2018). 
  • New York and San Francisco based private equity firm, Argand Partners, on its £150 million acquisition of UK-based carpet maker, Brintons Carpets, from The Carlyle Group (July 2017).

  • Auctus Industries on its US$220 million acquisition of Shimtech Industries in an independent sponsor transaction that was backed by Inflexion Private Equity and Ares Management.
  • Horizon Acquisition Company plc on its £850 million acquisition (as a reverse takeover) of U.S. based APR Energy (his team were shortlisted for Corporate Team of the Year at the Legal Business Awards).
  • Horizon Acquisition Company plc, a special purpose acquisition company on its initial public offering on the Main Market as a standard listing raising £417 million in a transaction sponsored by Credit Suisse.
  • The Founders of a special purpose acquisition company set up to acquire a company operating in the aerospace supply chain which proposed to raise £250 million through an initial public offering on the standard segment of the Main Market.
  • The Founders of a special purpose acquisition company set up to acquire companies operating in the UK outsourcing sector which proposed to raise £700 million through an initial public offering on the standard segment of the Main Market.
