Winston’s broad-based, fully integrated Energy Practice is among the most experienced in the current market, and we advise enterprises with interests in power generation from both renewable and conventional sources; transmission, including generation interconnection and transmission access; and storage projects on a full panoply of legal and business needs. We have handled power transactions since the infusion of independent power producers (IPPs) into the sector in the 1970s, which helped establish our reputation as one of the leading firms for power sector transactions, including electric generation, transmission, distribution, and fuel supply. We also handle various types of energy-related disputes before federal and state courts, arbitral panels on the domestic and international levels, and before regulatory authorities. Collectively, our lawyers deliver exceptional value due to the team’s depth of experience, the efficiency that comes with such experience, and our institutional knowledge of our clients’ businesses.

We have exceptional capabilities across the core competencies confronting all verticals of the current power and transmission markets. While deals, financings, and development work constitute the principal focus of our practice, we regularly advise our energy clients in connection with commercial, trading and derivative, tax, real estate and leasing, permitting/environmental, restructuring, and litigation matters, among other areas. We also offer an experienced FERC and regulatory practice that advises clients on transactions and transaction structuring; compliance investigations and enforcement; interconnection issues; and RSOs/ITOs matters. We work very closely with our colleagues who have substantial technical and practical capabilities in these areas, and in the energy sector, to provide an integrated platform. We regularly act as project and/or investment counsel in connection with gas-fired electric generation and transmission facilities across the U.S. and abroad. We also have extensive experience representing both purchasers and sellers of both individual projects and portfolios, including those involving auctions. Our lawyers lead the transaction process from start to finish, and we support every aspect of our clients’ needs. For example, we handle such sector-specific matters as required filings with FERC (including under Sections 203 and 205 of the Federal Power Act); obtaining regulatory approvals from state public utility commissions; and assisting with environmental, equipment procurement, and real estate issues.

Our experience acting as project counsel includes negotiating power purchase and tolling agreements, fuel supply and transportation agreements, interconnection and transmission agreements, carbon allowance and offset agreements, and other project contracts. We also routinely handle energy regulatory matters relating to the foregoing agreements and help in obtaining necessary permits and approvals to construct facilities (including environmental approvals), documenting real estate conveyances and shared facilities and services agreement, and acting as borrower’s counsel in project finance transactions.

Described as “well rounded, with specialists in nearly every related discipline needed for a large deal in this space” (Legal 500 US 2023), we are one of few firms that has been on the forefront of the renewable and alternative energy sector for decades. Our deep and broad experience covers all the major renewable energy sources—wind, solar, hydroelectric, geothermal, and biomass. We also routinely represent clients in the negotiation of power purchase agreements (and other project agreements) and contracts for battery energy storage systems, which is a core focus of the current renewables industry and has undergone major expansion in recent years. Our team has represented every kind of participant in the renewable energy industry, including project developers, utility and non-utility purchasers, equipment manufacturers, lenders, and equity investors. Our team closely monitors industry developments, and we understand federal and state policies, as well as other programs that impact the value of and procurement of all renewable energy sources.

Our lawyers have been immersed in the energy storage market since its inception and, as a result, have experience with many of the major energy storage technologies, including the burgeoning market for battery energy storage systems. We have kept a watchful eye on the increase in development of energy storage projects worldwide, including the impact that has resulted from the advent of renewable technologies serving as a major source for new energy development and playing a major role in the energy transition.
