The Company priced 10,000,000 units at a price of $10.00 per unit. Each unit consists of one Class A ordinary share and one-half of one redeemable warrant. Each whole warrant entitles the holder to purchase one Class A ordinary share at an exercise price of $11.50 per share, subject to adjustments.

Winston & Strawn, LLC represented KeHE Distributors, LLC, a leading pure-play natural and organic, specialty and fresh food distribution company in North America in connection with a Rule 144A/Reg. S offering of $500 million aggregate principal amount of 7.125% senior secured notes due 2033 issued by KeHE Distributors, LLC, KeHE Finance Corp. and NextWave Distribution, Inc. Proceeds from the offering were used to partially repay amounts outstanding under the company's existing ABL facility and pay related fees and expenses.

Alexander Ott Discusses ITC Litigation Funding Disclosure Proposal with Law360
Winston & Strawn partner Alexander Ott was quoted in a Law360 article discussing the U.S. International Trade Commission (ITC)’s proposed rule requiring disclosure of litigation funding in Section 337 intellectual property investigations. The proposed rule would require parties appearing before the ITC to disclose litigation funding arrangements and entities with financial interests or authority over litigation and settlement decisions. According to the article, the ITC stated that the information could help identify conflicts of interest and provide greater clarity in Section 337 investigations.
