Winston & Strawn, LLC represented KeHE Distributors, LLC, a leading pure-play natural and organic, specialty and fresh food distribution company in North America in connection with a Rule 144A/Reg. S offering of $500 million aggregate principal amount of 7.125% senior secured notes due 2033 issued by KeHE Distributors, LLC, KeHE Finance Corp. and NextWave Distribution, Inc. Proceeds from the offering were used to partially repay amounts outstanding under the company's existing ABL facility and pay related fees and expenses.
