RF Acquisition Corp. Closes Business Combination with GCL Asia to Go Public
Winston & Strawn represented RF Acquisition Corp., a publicly traded special purpose acquisition company, in its business combination with Grand Centrex Limited, one of Asia's leading video game distributors and publishers. The combined company, GCL, is now listed on Nasdaq under the reserved ticker symbol "GCL.” The transaction gives GCL approximately $1.2 billion in pre-transaction equity value. GCL's existing shareholders will roll over 100% of the equity and retain a majority of the Combined Company's outstanding shares, while GCL also designated a majority of the Combined Company's board of directors. The transaction includes a minimum cash condition of $25,000,000 and resulted in GCL receiving gross proceeds of approximately $42.9 million (assuming no further redemptions by RF Acquisition shareholders). RF Acquisition and GCL have agreed to work together to pursue commitments for a private placement of equity, debt, or other alternative financings of up to $20 million. GCL expects to use proceeds from the transaction to accelerate its game publishing and IP management business, alongside its marketing reach with AAA/AA PC game titles.

Winston Represented GHOST in its Sale to Keurig Dr Pepper
A team led by Eva Davis and Brendan Mace is representing GHOST, a disruptive lifestyle sports nutrition business, in its sale to Keurig Dr Pepper (KDP). KDP purchased an initial 60% stake in GHOST, which will be followed by the acquisition of the remaining 40% stake in 2028. The transaction will pair GHOST’s products and people with KDP’s insights and capabilities, moving GHOST towards its vision of becoming a 100-year brand. GHOST’s net sales have more than quadrupled over the past three years, making it one of the fastest-growing brands in the energy category.

Winston & Strawn LLP represented Estrella Immunopharma, Inc., a Nasdaq-listed clinical-stage biopharmaceutical company focused on developing T-cell therapies, in connection with its effective Form S-3 registration statement filed with the Securities and Exchange Commission (SEC). The filing utilized a "shelf" registration process, allowing Estrella Immunopharma to offer and sell up to an aggregate of US$100 million of its common stock and warrants in one or more future primary offerings.

The Illinois Biometric Invasion of Privacy Act (BIPA), enacted in 2008, grants Illinois consumers the right to their own biometric data, such as fingerprints, retina or iris information, voiceprints, and DNA. Under the BIPA, private companies are prohibited from collecting biometric information unless (1) the person consents in writing and (2) the companies inform the person in writing of what data is being collected, for what purpose, and for how long. Besides the notice and consent requirement, the law also bans any company from selling or otherwise profiting from consumers’ biometrics.

The Illinois Genetic Information Privacy Act (GIPA), enacted in 1998, prohibits employers and their agents from conditioning employment on genetic data, or from using genetic data in discriminatory ways. The statute also prohibits insurers from seeking genetic information to use in connection with accident or health insurance policies.
