The government makes aggressive use of its extensive criminal and civil investigatory powers to root out alleged fraud and abuse implicating government funds, including one of its most powerful civil enforcement tools—the federal False Claims Act (FCA)—and similar state false claims statutes.

Banesco USA acquires BayFirst Financial’s SBA loan division business
Winston represented Banesco USA in its acquisition of BayFirst Financial’s SBA lending business. Through the acquisition of the SBA lending business and a portfolio of SBA 7(a) loans, Banesco USA gains the infrastructure, expertise, and enhanced capabilities to deliver SBA lending on a national scale. It marks a significant step in the bank’s growth strategy, enabling it to expand its lending nationally, enhance the ability to better serve small and mid-sized businesses, and diversify its offerings. Banesco USA is an independent Florida state-chartered bank and is part of the Banesco International financial brand of banks operating in multiple countries. Enrique Martin, partner in Winston’s M&A Practice group, led the transaction for Banesco USA and was assisted by counsel Jennifer Olivestone and associate Caitlin Calvo.

Winston advises in a landmark telecom transaction across Central America
Winston & Strawn LLP advised Millicom International Cellular S.A. (Millicom) in an agreement with SBA Communications Corporation (SBA Communications) to sell and leaseback a tower portfolio of approximately 7,000 towers in Guatemala, Honduras, Panama, El Salvador, and Nicaragua for approximately US$975 million. In addition, the parties have agreed to enter into a build-to-suit agreement under which SBA Communications will build up to 2,500 additional sites, further solidifying the partnership.

SBA Makes Changes to Annual Charges
The U.S. Small Business Administration (the SBA) has announced that the annual fee charged to Small Business Investment Companies (SBICs) for debentures (the Annual Fee) will initially be 0.3440% for the fiscal year 2026. Any SBICs that have outstanding SBA debentures from October 1, 2025 to January 20, 2026 will be required to pay this Annual Fee, even if those debentures were received from SBA in prior years. In addition, SBA announced that, beginning January 20, 2026, it will charge different Annual Fees based on whether an SBIC utilizes Standard Debentures or Accrual Debentures.

CFPB Issues Open Banking Rule Making It Easier for Customers to “Divorce” Their Banks
On October 22, 2024, the Consumer Financial Protection Bureau (CFPB) issued a final rule to enforce consumers’ personal financial data access rights granted to them by Section 1033 of the Consumer Financial Protection Act (CFPA), 12 U.S.C. § 5553 (the Rule). Commonly referred to as the “open banking” rule, the Rule is intended to offer consumers the ability to easily switch between providers of financial services and products, increase innovation and greater quality in services, and create baseline security standards for sharing and accessing information across the market.
