Winston Advised GenNx360 Capital Partners in its sale of Aero 3, Inc.
A Winston team led by Justin Levy and Eric Kaufman represented GenNx360 Capital Partners, a New York-based private equity firm investing in industrial and service companies, in connection with the sale of Aero 3, Inc. to VSE Corporation (NASDAQ: VSEC), a leading provider of aviation aftermarket distribution and repair services. Headquartered in Manchester, New Hampshire, Aero 3 is a diversified global Maintenance, Repair and Overhaul (MRO) service provider and distributor supporting the commercial wheel and brake aftermarket. This transaction builds on GenNx360’s successful buy-and-build strategy.

Winston Advises Vistria Affiliate in $136M IPO of Phoenix Education Partners
A Winston & Strawn LLP team led by partners Keerthika Subramanian, Steve Gavin and Timothy Kincaid and including Jacob Tabman, Jeremy Spankowski and Jenna Smith advised TVG-I-E-AEG Holdings, LP, an affiliate of The Vistria Group, as one of the selling stockholders in the $136 million initial public offering of Phoenix Education Partners, Inc. (NYSE: PXED), the parent company of The University of Phoenix, Inc. The IPO valued Phoenix Education Partners, Inc. at approximately $1.35 billion. The transaction marks The University of Phoenix’s return to public markets after nearly a decade as a private company.

Winston Serves as Lead Counsel to GCP Capital Partners in New Continuation Vehicle
Winston & Strawn served as legal counsel to GCP Capital Partners (GCP) in connection with the formation and closing of a single-asset continuation vehicle involving ALKEME Insurance. Led by the PE and Funds Group practices, the team advised GCP throughout the transaction which included substantial newly committed capital to fund portfolio company ALKEME’s continued growth (the single asset). The fund raise was backed by a syndicate of institutional investors where Apollo S3 served as the lead investor. The deal signals a growing trend: the strategic use of continuation vehicles to extend sponsors’ ownership in high-performing portfolio companies. This deal also reflects a broader narrative in middle-market private equity: firms that started small are now scaling rapidly, and they’re turning to sophisticated liquidity solutions to fuel that growth.

Eva Davis Shares Insights on Structuring Tariff-Impacted Deals with Mergers & Acquisitions
Winston & Strawn partner Eva Davis spoke with Mergers & Acquisitions about how it is possible to close deals despite uncertainty surrounding potential tariff impacts. She explained that in two deals that were close to signing in March, there was enough of a cushion in the sellers’ valuation expectations that when tariffs took effect on April 1, they agreed to reduce the purchase price and do an earnout to make up for the reduction that allowed the deals to close in April and May. She noted that in each transaction, the purchase price was based on an Ebitda multiple calculated over either a trailing or projected 12-month period.
