International trade is essential for the growth and development of global economies and businesses. As international trade has expanded and developed, so too have the myriad rules and regulations that govern it. The global compliance environment is becoming more complex by the day and can be difficult to navigate without the assistance of experienced counsel. Failure to comply with international trade rules and regulations—even if done so unwittingly—can lead to civil and criminal penalties, monitorships, consent agreements, debarment, reputational damage, substantial administrative burden, legal expense, and unsatisfied business objectives. Increasingly, there also is exposure for individual officers/directors, which can include monetary penalties and, potentially, jail time.

Ross Greenspan Discusses Private Equity Continuation Vehicles with Cash and Carried
Winston & Strawn’s Ross Greenspan was quoted in a Cash and Carried article examining the rapid growth of continuation vehicles (CVs) and their evolving role in private equity liquidity and GP‑LP alignment. Most CV transactions allow existing LPs to choose from several options, including a full sale for liquidity, a reinvestment into the CV, or a combination of the two through a partial option. A subset of deals extend a “status quo option,” permitting LPs to stay in the existing vehicle or roll into the CV on the same economic terms of the existing vehicle.

Offshore wind or OSW is a term that refers to the generation of energy using wind turbines installed over bodies of water. Unlike onshore wind farms, offshore farms typically provide higher energy production because much larger turbines can be installed offshore than on land due to stronger and more consistent winds in marine environments. The energy created by offshore wind power is a renewable energy source and produces no greenhouse gas emissions, so it is considered an important component in the transition to net-zero emissions. Offshore wind projects are regulated at both the state and federal level including environmental regulations, safety standards, and permitting and licensing requirements. The Jones Act, which regulates maritime commerce in the United States, plays a critical role in how offshore wind projects are planned and constructed in U.S. waters.

The field of telemarketing law covers U.S. legislation, federal agency regulations, and state statutes that determine how telemarketers can contact consumers and businesses by phone or text message. The Telephone Consumer Protection Act (TCPA) and Telemarketing Sales Rule (TSR) restrict telemarketing calls, automatic phone dialing, and prerecorded messages. TCPA also requires telemarketers to obtain consumers’ signed written consent before robocalling or robotexting them.
