ESOP Class Claims Flop

After an eleven-day bench trial in January 2023, the N.D. Ill. delivered a full defense verdict in March 2025 in an ERISA class action brought by participants in Segerdahl Corporation’s ESOP. The court rejected the class claims against Segerdahl, its ESOP trustee GreatBanc Trust Company, and various individual defendants including board members Bob Cronin, Rod Goldstein, and Peter Mason, alleging that Segerdahl could have sold for a significantly higher price, which would have increased post-sale distributions to the ESOP participants. (“Total Play”), a leading telecommunications company in Mexico, in connection with the offer to exchange (a) up to US$600M of its outstanding 6.375% Senior Notes due 2028 (the “Existing Notes”) for newly issued 11.125% Senior Secured Notes due 2032 (the “New Notes”) and (b) a cash payment by each tendering holder of U.S.$450 for each U.S.$1,000 in Existing Notes tendered by such holder (the “New Money Deposits”) for newly issued New Notes. SEC Eases Timing Requirements for Broker Searches

On January 23, 2026, the Securities and Exchange Commission (SEC) published a new compliance and disclosure interpretation in Question 133.02 that provides public companies with greater flexibility to condense the broker searches in connection with their stockholder meetings. Under this new interpretation, registrants may conduct the broker search less than 20 business days before the record date for the meeting, so long as the company reasonably believes that proxy materials will be disseminated to beneficial owners on time and otherwise complies with Rule 14a-13 under the Securities Exchange Act of 1934 (Exchange Act).
