Winston Represented DNOW Inc. in its Acquisition of Whitco Supply
Winston represented DNOW L.P., an affiliate of DNOW Inc., a global supplier of energy and industrial products and packaged, engineered process and production equipment, in its acquisition of Whitco Supply, LLC, a Louisiana-based provider of energy products and solutions to the midstream market and broader energy sectors. The Whitco Supply acquisition enhances DNOW's capabilities and position in the midstream, E&P and targeted adjacent markets that have been core to the company’s growth strategy, while increasing the company’s earnings and free cash flow capacity.

WaterBridge Strategic Acquisition of Produced Water Assets in the Delaware Basin
Winston & Strawn LLP represented WaterBridge Holdings LLC (together with its subsidiaries, "WaterBridge") in connection with its acquisition from Colgate Energy, LLC of the produced water infrastructure associated with Colgate’s recent asset acquisition from Oxy. The assets include 10 water handling facilities and associated water midstream infrastructure with aggregate handling capacity of approximately 100,000 bpd and approximately 50 miles of produced water pipelines. In addition, WaterBridge and Colgate have entered into a new 15-year produced water management agreement for all Colgate’s operated acreage within a significantly expanded Area of Mutual Interest in Reeves and Ward Counties, Texas. After this transaction, Colgate will have over 86,100 gross operated acres dedicated to WaterBridge in the southern Delaware Basin.

DistributionNow Acquires Flex Flow Business from GR Energy Services
Winston & Strawn LLP represented DistributionNOW Inc. (NYSE: DNOW), one of the largest distributors to energy and industrial markets, in the closing of its acquisition from GR Energy Services, a portfolio company of Pine Brook, of substantially all the assets used in connection with its Flex Flow business, predominantly relating to the rental, sale, and service of surface-mounted and trailer-mounted horizontal pumps, including jet pump systems. Flex Flow is the leading provider of H-pump solutions for fluid movement applications. This transaction significantly expands DistributionNOW’s existing product offering with the addition of its rental product solution, comprising an industry-leading fleet of 240 trailer-mounted horizontal pumping (“H-pump”) units, and will enhance DistributionNOW’s rapid asset deployment, service, and customer contact in the midstream market across the Permian, Scoop-Stack, Haynesville, and Bakken plays and Canada’s Montney region.
