Winston Serves as Lead Counsel to GCP Capital Partners in New Continuation Vehicle
Winston & Strawn served as legal counsel to GCP Capital Partners (GCP) in connection with the formation and closing of a single-asset continuation vehicle involving ALKEME Insurance. Led by the PE and Funds Group practices, the team advised GCP throughout the transaction which included substantial newly committed capital to fund portfolio company ALKEME’s continued growth (the single asset). The fund raise was backed by a syndicate of institutional investors where Apollo S3 served as the lead investor. The deal signals a growing trend: the strategic use of continuation vehicles to extend sponsors’ ownership in high-performing portfolio companies. This deal also reflects a broader narrative in middle-market private equity: firms that started small are now scaling rapidly, and they’re turning to sophisticated liquidity solutions to fuel that growth.

A team led by Craig Godshall and Matthew Schlosser represented Court Square Capital Partners, a New York-based leading middle-market private equity company, in its entry into a definitive agreement to sell Advanced Diabetes Supply® Group, a California-based national distributor of Durable Medical Equipment specializing in diabetes supplies, to Cardinal Health for US$1.1B. This sale will allow ADSG to continue to expand its reach and enhance the way it serves its approximately 500,000 patients nationwide with advances in in-home delivery of diabetes products including continuous glucose monitoring devices and other testing supplies.

Winston represented GenNx360 Capital Partners (GenNx360), a New York-based private equity firm investing in middle-market business services and industrial companies, in the sale of New York-based Miller Environmental Group (Miller), a leading provider of essential waste, industrial, and environmental services across the United States, to Coalesce Capital. Miller currently operates 30 locations throughout the United States, and is vertically integrated across the waste, industrial, and environmental services value chain, with 22 field service branches and a portfolio of 10-day transfer, treatment, storage, and disposal facilities (TSDFs) for waste processing.

What Is the Bureau of Ocean Energy Management (BOEM)?
The Bureau of Ocean Energy Management (BOEM) is the U.S. Government agency that leases offshore areas on the U.S. Outer Continental Shelf (OCS) for energy development, including offshore renewable energy such as offshore wind. The organization’s goal is to responsibly manage OCS energy and resources in the interest of energy independence, environmental sustainability, economic development, and national security. BOEM utilizes the expertise of scientists and technical professionals who share information and research that contributes to the bureau’s decision making. The bureau is part of the U.S. Department of Interior. BOEM’s sister agency—the Bureau of Safety and Environmental Enforcement or BSEE—enforces offshore safety, environmental and other requirements in tandem with BOEM issued leases and works closely with the U.S. Coast Guard and other federal and state agencies. BOEM has reported that OCS production accounts for approximately 18 percent of the nation’s crude oil supply and 4 percent of the domestic natural gas supply. BOEM is currently engaged in an extensive offshore wind leasing program with a number of leases already existing for wind farms off the U.S. East Coast.
