Winston & Strawn LLP represented Boost Run Inc. ("Boost Run") in connection with its business combination with Willow Lane Acquisition Corp. ("Willow Lane"). Boost Run is a leading provider of instant, scalable GPU infrastructure for AI workloads. The transaction strengthened Boost Run's balance sheet with gross proceeds (prior to transaction expenses) of $134.5 million, representing the full Willow Lane trust account as a result of no redemptions being submitted.

Winston & Strawn LLP served as legal counsel to Forefront Tech Holdings Acquisition Corp in connection with its $100,000,000 initial public offering. The Company priced 10,000,000 units at a price of $10.00 per unit. Each unit consists of one Class A ordinary share and one-half of one redeemable warrant. Each whole warrant entitles the holder to purchase one Class A ordinary share at an exercise price of $11.50 per share, subject to adjustments.

Winston & Strawn, LLC represented KeHE Distributors, LLC, a leading pure-play natural and organic, specialty and fresh food distribution company in North America in connection with a Rule 144A/Reg. S offering of $500 million aggregate principal amount of 7.125% senior secured notes due 2033 issued by KeHE Distributors, LLC, KeHE Finance Corp. and NextWave Distribution, Inc. Proceeds from the offering were used to partially repay amounts outstanding under the company's existing ABL facility and pay related fees and expenses.

What Is Advertising Litigation?
Advertising litigation is defined as the legal area that covers false or deceptive advertising cases. Lawsuits may be brought by government agencies or corporate competitors based on the Lanham Act—a law that specifically deals with false advertising. The Act outlines how an advertisement can be deemed false. The Federal Trade Commission (FTC) has the ability to file lawsuits to halt deceptive advertising claims. The U.S. Food and Drug Administration may also pursue advertising litigation against violators of government regulations.
