New Executive Order Targets Proxy Advisory Firms: Key ERISA Implications

On December 11, 2025, President Trump issued an executive order (the Order) targeting two major proxy advisory firms, Institutional Shareholder Services, Inc. (ISS) and Glass Lewis & Co., LLC (Glass Lewis). The Order described ISS and Glass Lewis as foreign-owned entities that control over 90% of the proxy- advisor market and influence how large investors vote on governance matters impacting publicly traded companies, including shareholder proposals, board composition, and executive compensation. It asserts that these firms often prioritize political agendas, particularly diversity, equity, and inclusion (DEI) and environmental, social, and governance (ESG) initiatives,  over investor returns.
