D. Boral Capital Closes US$15M Robot Consulting IPO
Winston & Strawn LLP represented D. Boral Capital LLC and Craft Capital Management LLC in connection with the US$15M initial public offering of American Depositary Shares (ADSs) of Robot Consulting Co., Ltd. The offering consisted of 3,750,000 ADSs priced at $4.00 per ADS, and the company’s ADSs began trading on the Nasdaq Capital Market under the ticker symbol “LAWR” on July 17, 2025.

PicoCELA Inc. Closes $1.8 Public Offering
Winston & Strawn represented Revere Securities LLC acted as the lead placement agent in connection with PicoCELA, Inc. in the closing of its public offering of 6,100,000 American Depositary Shares ("ADSs") at a public placement price of $0.30 per ADS. PicoCELA, Inc. received an aggregate gross proceeds of $1.83 million before deducting placement agent commission and other offering expenses. Each ADS represents one common share of the Company.

This transaction marks ASC's fourth acquisition, serving as a key foundation to strengthen product offerings and continue development on a national scale. ASC is a portfolio company of ACON Investments, LLC (ACON), an international private equity firm headquartered in Washington D.C., investing in North America, Latin America, and Europe.

Erin Weber Highlights Upcoming Fifth Circuit Rehearing of No Surprises Act Challenge in Law360
Winston & Strawn partner Erin Weber was featured in a Law360 article discussing the Fifth Circuit’s upcoming en banc rehearing of a challenge to the No Surprises Act (NSA), which was designed to protect patients from unexpected out-of-network medical bills by establishing an arbitration process between insurers and providers. The full court agreed to rehear the case after a three-judge panel largely upheld the law in 2024. The consolidated suit, led by the Texas Medical Association, argues that the federal government unlawfully implemented a 2021 rule governing how payment amounts are calculated in the Independent Dispute Resolution (IDR) process.

The U.S. has two Privacy Shield Frameworks that American organizations can join. The EU-U.S. Privacy Shield Framework was created by the Department of Commerce and the European Commission, while the Swiss-U.S. Privacy Shield Framework was designed by the Department of Commerce with the Swiss government.
