Chart Industries Divestiture of MVE Biological Products to Cryoport
Winston & Strawn represented Chart Industries, Inc. (NASDAQ: GTLS) in the divestiture of its cryobiological products business (MVE Biological Products) to Cryoport, Inc. (NASDAQ: CYRX) for US$320M in cash. The strategic decision to divest the cryobiological products business reflects Chart’s strategy and capital allocation approach to focus on its core capabilities and offerings while continuing to expand its presence in clean energy applications including LNG, hydrogen, biogas/biomethane, carbon capture and other renewable fueling sources.

United States Imposes Substantial Fees on Chinese-Built and Other Vessels
On April 17, 2025, the U.S. Trade Representative imposed a series of fees on Chinese-owned and -operated vessels, Chinese-built vessels, and foreign-built car carriers starting in October 2025. The USTR also proposed additional duties on Chinese-manufactured ship-to-shore cranes and certain cargo handling equipment. The range of fees, the application of the fees to car carriers not connected with China, and the crane fees are all new and did not appear in the USTR’s February 2025 proposal.

Supreme Court Grants Cert To Assess Limits Of NEPA
The Supreme Court will hear a challenge to the D.C. Circuit’s interpretation of agency obligations under the National Environmental Policy Act (NEPA). The June 24, 2024 grant of certiorari in Seven County Infrastructure Coalition v. Eagle County marks the Supreme Court’s most significant foray into NEPA since its unanimous 2004 decision in Department of Transportation v. Public Citizen, 541 U.S. 752 (2004). The Supreme Court will consider “[w]hether the National Environmental Policy Act requires an agency to study environmental impacts beyond the proximate effects of the action over which the agency has regulatory authority.” Pet. at i.
