Brightwood Capital’s Acquisition of Museum of Illusions Group

A team led by Bradley Vaiana and Austin Leach represented Brightwood Capital Advisors, LLC (“Brightwood”), a New York–based investment firm, in its acquisition of Museum of Illusions Group, the world’s largest privately held chain of museums, from Invera Capital Partners. As part of the transaction, five previously franchised locations will transition from the chain’s largest franchisee, LOL Entertainment, to become corporate-owned sites. Winston attorneys across multiple practice areas and offices, including M&A, Tax, Intellectual Property, Employee Benefits, and the firm’s UK office, assisted in structuring a complex cross-border transaction to support Brightwood's fund investment goals. Winston Takes the Checkered Flag After “Massive Win” Settlement

Winston squared off in the W.D.N.C. against lawyers for NASCAR in an antitrust lawsuit brought on behalf of racing teams Front Row Motorsports Inc. and 23X1 Racing LLC—the team co-owned by Michael Jordan and driver Denny Hamlin—alleging monopolization of the market for premier stock car racing teams. On December 11, 2025, nine days into trial and the morning after the plaintiffs rested their case, the parties jointly announced a settlement. Jeffrey Kessler, Jeanifer Parsigian, and Danielle Williams were recognized by American Lawyer with its top “Litigator of the Week” honors on December 19, 2025, for this historic settlement....Read more

Federal Circuit Backs PayPal

In December 2022, Winston convinced Judge Albright of the W.D. Tex. to reverse his tentative construction and invalidate four patents based on means-plus-function indefiniteness at claim construction in the district court. Winston also persuaded Judge Albright to deny Fintiv’s motion for reconsideration the next month. Fintiv appealed to the Federal Circuit, which affirmed the district court in a precedential opinion in April 2025. Winston overcame a significant amount of sleight of hand from Fintiv, which continually shifted the purported structure of the “payment handler” term through claim construction, its motion for reconsideration, and appellate briefs, muddying the record. Ultimately the opinion clearly distinguished the factual record from that in Dyfan v. Target, curbing patentees abilities to argue that all code or applications are a “class of structures” and not indefinite under 112(f). The Federal Circuit affirmed four of the five patents Winston invalidated for PayPal, effectively foreclosing Fintiv’s ability to revive these patents for assertion. Winston also invalidated the fifth patent at the PTAB; Fintiv’s appeal of that Final Written Decision is pending....Read more
