Winston Advises Vistria Affiliate in $136M IPO of Phoenix Education Partners
A Winston & Strawn LLP team led by partners Keerthika Subramanian, Steve Gavin and Timothy Kincaid and including Jacob Tabman, Jeremy Spankowski and Jenna Smith advised TVG-I-E-AEG Holdings, LP, an affiliate of The Vistria Group, as one of the selling stockholders in the $136 million initial public offering of Phoenix Education Partners, Inc. (NYSE: PXED), the parent company of The University of Phoenix, Inc. The IPO valued Phoenix Education Partners, Inc. at approximately $1.35 billion. The transaction marks The University of Phoenix’s return to public markets after nearly a decade as a private company.

Winston & Strawn LLP represented PJT Partners in its role as dealer manager to Beyond Meat, Inc., a publicly traded food technology company and leading producer of plant-based meat alternatives, in connection with an exchange offer and consent solicitation for any and all of its $1.105 billion of 0% Convertible Senior Notes due 2027 for up to $202.5 million in new 7.00% Convertible Senior Secured Second Lien PIK Toggle Notes due 2030 and up to approximately 326 million shares of common stock.

We served as underwriters' counsel to BofA Securities, Citigroup, J.P. Morgan and Raymond James, as joint book-running managers, in connection with the registered public offering of $1.5 billion of Senior Notes by Raymond James Financial, Inc. comprised of $650 million of its 4.900% Senior Notes due 2035, and $850 million of its 5.650% Senior Notes due 2055.

What Is a Temporary Restraining Order (TRO)?
A temporary restraining order (TRO) is a legal document issued by a judge before trial that forces or prevents an action for a specified time frame. During court cases that involve trademark infringement or the use of a trade secret, a TRO can halt patent, copyright, or trademark infringement in the short term. It can offer relief in various situations, such as to prevent the sharing of a business secret or an unfair competition practice, until a court hearing on a preliminary injunction can be held. A TRO petition is an emergency request for a state or federal court to take immediate action based on submitted evidence.

What Is the Copyright Royalty Board?
The U.S. Copyright Royalty Board (CRB) is a three-judge panel that functions as an independent unit within the Library of Congress. It performs the duties specified in the Copyright Royalty and Distribution Reform Act. The Act established statutory licenses that let approved parties utilize certain types of copyrighted works by paying a set royalty, without having to request an individual copyright license from each rights-holder. The CRB sets, and periodically adjusts, the rates and terms of the statutory licenses, and can also make determinations on the distribution of statutory license royalties collected by the U.S. Copyright Office. For example, the judges can determine, for a five-year period, the rates musical performers receive when their works are played via digital services. When licensors and licensees cannot reach rate agreements on their own, the CRB hears testimony from the various parties and then sets the rates. CRB Judges serve six-year terms. The first CRB judges were appointed by the Librarian of Congress in 2006.

What Is the Patent Trial and Appeal Board?
The Patent Trial and Appeal Board (PTAB) is a tribunal within U.S. Patent and Trademark Office. The PTAB oversees trial proceedings, namely: inter partes review (IPR), post-grant review (PGR), covered business method (CBM) review, and derivation proceedings. The Board also hears appeals from adverse patentability decisions by patent examiners in original applications, reissues, and reexaminations. And, while phasing out since the passage of the America Invents Act (AIA) in 2011, the PTAB is also responsible for deciding interferences. The PTAB was previously referred to as the Board of Patent Appeals and Interferences and was renamed by the AIA.
