US Tiger Securities Announced IPO
Winston & Strawn LLP is serving as U.S. securities counsel to US Tiger Securities, Inc., a full-service broker/dealer, in connection with the $10,000,000 initial public offering of SMJ International Holdings Inc., a Singapore-based premium flooring specialist. The Company priced 2,500,000 Class A ordinary shares at US$4.00 per share. The Class A ordinary shares are expected to begin trading on the NYSE American under the ticker symbol “SMJF” on December 4, 2025.

AA Mission Acquisition Corp. II - Initial Public Offering
Winston & Strawn LLP represented AA Mission Acquisition Corp. II, a blank check company, in the recent closing of its $100 million Initial Public Offering (IPO). The offering consisted of 10,000,000 units priced at $10.00 per unit, before deducting underwriting discounts and estimated offering expenses. The units began trading on the New York Stock Exchange (NYSE) under the ticker symbol “YCY.U” on October 1, 2025.

Winston represents a class of professional swimmers alleging World Aquatics (WA) violated antitrust laws by blocking their participation in the competing International Swimming League. After WA won summary judgment, Winston successfully appealed, arguing the court applied improper antitrust standards and wrongly denied certification of a damages class. In September 2024, the Ninth Circuit reversed both rulings, reviving all claims and issuing a landmark ruling on the possible application of the per se rule or quick look review to sports-associations rules. Am Law awarded Winston “Litigator of the Week” Runner-Up recognition for the win. In November 2024, the Ninth Circuit denied rehearing. In April 2025, the district court certified a damages class.

A class action is a procedural device that allows one or more persons, usually plaintiffs (though federal and state procedural rules also authorize defendant classes) to file suit on behalf of a group of similarly situated persons. Federal law defines a class action as “any civil action filed under Rule 23 of the Federal Rules of Civil Procedure or similar State statute or rule of judicial procedure authorizing an action to be brought by 1 or more representative persons as a class action.” 28 U.S.C. § 1332(d)(1)(B), (d)(8).

Removal is a procedural mechanism through which a case filed in state court may be transferred to federal court upon the request of one or more parties. Actions filed in state court over which a federal court would have original jurisdiction may be transferred—or removed—to federal court under the removal statute, 28 U.S.C. § 1441. Generally speaking, removal is possible if (1) the plaintiff(s) and defendant(s) are citizens of different states and the case places more than $75,000 in controversy (so-called “diversity” jurisdiction), or (2) the case turns on issues of federal law (so-called “federal question” jurisdiction). In many cases, defendants prefer to be in federal court, and so defendants often analyze early in the case whether removal is possible.

Dark patterns can appear as designs that create misleading impressions, hide or delay disclosure of material information, lead to unauthorized charges, or obscure privacy choices. Some examples include advertisements deceptively formatted to look like independent editorial content; non-descriptive dropdowns, arrows, or small icons to hide the full cost and other terms, free trials that automatically convert to recurring subscriptions; and prominent cookie-consent banners that hide cookie-rejection options.
