$2.75 Billion Constellation Energy Generation, LLC Public Offering of Senior Notes
Winston served as underwriters' counsel to BofA Securities, Citigroup, Goldman Sachs & Co. LLC, Morgan Stanley and Scotiabank, as joint book-running managers, in connection with the registered public offering of $2.75 billion of Senior Notes by Constellation Energy Generation, LLC comprised of (i) $300 million of its Floating Rate Senior Notes due 2028; (ii) $900 million of its 3.900% Senior Notes due 2028, (ii) $750 million of its 4.400% Senior Notes due 2031, and (iv) $800 million of its 5.875% Senior Notes due 2066.

Winston Takes the Checkered Flag After “Massive Win” Settlement
Winston squared off in the W.D.N.C. against lawyers for NASCAR in an antitrust lawsuit brought on behalf of racing teams Front Row Motorsports Inc. and 23X1 Racing LLC—the team co-owned by Michael Jordan and driver Denny Hamlin—alleging monopolization of the market for premier stock car racing teams. On December 11, 2025, nine days into trial and the morning after the plaintiffs rested their case, the parties jointly announced a settlement. Jeffrey Kessler, Jeanifer Parsigian, and Danielle Williams were recognized by American Lawyer with its top “Litigator of the Week” honors on December 19, 2025, for this historic settlement.

China Specifies Safe Harbor Provision for Certain Vertical Agreements
China’s State Administration for Market Regulation (SAMR) recently revised its Provisions on Prohibiting Monopoly Agreements (禁止垄断协议规定) to specify when vertical agreements will be presumed legal under the Chinese Anti-Monopoly Law’s safe harbor provision (the Safe Harbor). This revision, which will take effect on February 1, 2026, provides specific Safe Harbor criteria that distinguish between agreements to fix resale prices or set minimum resale price (i.e., RPM agreements) and all other vertical agreements.

What Is the Better Business Bureau (BBB)?
The Better Business Bureau (BBB) is a private organization that provides the public with information on businesses and charities. It also handles consumer complaints about firms. The nonprofit bureau has developed a rating system for businesses based on a scale of A+ to F. Each rating is determined according to specific criteria relating to a company’s ethics and performance. The BBB offers guidance to companies on proper practices. Firms that follow these policies and pay annual dues can become accredited through the bureau. To obtain accreditation, a business must be operate with transparency, be appropriately licensed, adhere to BBB advertising codes, and have no unresolved consumer complaints.
