Winston Wins Unanimous Supreme Court Case Clarifying Securities Fraud Liability

Winston secured a unanimous victory in the U.S. Supreme Court for Macquarie Infrastructure Corp. in a federal securities class action that was filed after the announcement of the company’s 2017 financial results and 2018 dividend guidance caused US$2+B drop in market cap. The Court ruled that silence does not equal fraud, even if SEC regulations require disclosure. This decision resolves a longstanding disagreement among the lower courts about the scope of securities fraud liability under Rule 10b-5. It makes clear that a company cannot be liable under that provision for a pure omission of material information, even if SEC regulations required the information to be disclosed. This is particularly important for disclosures under Item 303 of SEC Regulation S-K, which requires management to make complex judgments about the likelihood of future events....Read more

SQM 2023 Green Bond

Winston & Strawn LLP represented Sociedad Química y Minera de Chile S.A. (SQM) in connection with its "green" bond offering of US$750M principal amount of 6.500% Notes due 2033 (the “Green Bonds”). The Green Bonds were offered in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act and outside the United States pursuant to Regulation S under the Securities Act. The proceeds of the Green Bonds will be used to finance or refinance recently completed, ongoing or future eligible green projects with respect to lithium production capacity expansion for applications related to clean transportation and energy efficiency. Disbursements may cover project expenditures for up to 36 months preceding the issuance of the Green Bonds and until their maturity date. BofA Securities, Inc., J.P. Morgan Securities LLC and Santander US Capital Markets LLC (Confidential) acted as initial purchasers of the Green Bonds. SQM shares are traded on the Santiago Stock Exchange and its ADSs are traded on the New York Stock Exchange. Under SQM’s green bond Financing Framework, eligible green projects include expenditures for the development, expansion, operation and maintenance of projects for the extraction and processing of lithium and production of lithium hydroxide and lithium carbonate primarily dedicated to clean transportation and energy efficiency. OCC and FDIC Rescind Interagency Leveraged Lending Guidance

On December 5, 2025, the Office of the Comptroller of the Currency (OCC) and the Federal Deposit Insurance Corporation (FDIC) issued a joint statement (the Statement) rescinding the Interagency Guidance on Leveraged Lending, issued March 2013 (the 2013 Guidance), as well as the Frequently Asked Questions for Implementing March 2013 Interagency Guidance on Leveraged Lending, issued February 2014 (the 2014 FAQs). The Federal Reserve, which co-signed both documents, has not yet indicated whether it will follow suit, but one would expect larger state-chartered banks that are members of the Federal Reserve System (and thus supervised by the Federal Reserve) to lobby the Federal Reserve for equal treatment on this important issue to maintain a level playing field with their national bank and state-chartered, FDIC-supervised bank competitors.
