Delaware Court Sees Though Plaintiffs’ Poorly Disguised Derivative Claims
Winston received an Am Law Litigator of the Week Shout Out for securing a ruling knocking out US$300M in claims against the former board of managers of Verano Holdings LLC, a subsidiary of Verano Holdings Corp., one of the country’s largest publicly traded cannabis companies. Delaware Vice Chancellor J. Travis Laster dismissed a lawsuit brought by former minority shareholders in Verano Holdings finding the plaintiffs lost standing to bring such derivative claims after the combination that resulted in the public company took hold. The judge issued a dismissal with prejudice in an oral ruling from the bench.

Winston and co-counsel helped the three major credit bureaus—Equifax, TransUnion and Experian—defeat claims they colluded with credit score provider FICO to cause consumers to overpay for credit scores. U.S. District Judge Edmond Chang in the N. D. Ill. found that the plaintiffs hadn’t adequately alleged that the credit bureaus entered into a conspiracy to further FICO’s alleged monopoly and dismissed the claims against them with prejudice. Winston’s successful defense of Equifax was recognized by American Lawyer in its Litigator of the Week column on December 3, 2024.

Winston represented Specialty Building Products, LLC, a portfolio company of Winston client TJC, L.P., in connection with a Rule 144A/Reg. S offering of $510,000,000 aggregate principal amount of 7.750% senior secured notes due 2029 issued by Specialty Building Products Holdings, LLC and SBP Finance Corp. In connection with the notes offering, Winston also represented Specialty Building Products in connection with a $215,000,000 incremental term loan B add-on facility and the amendment and extension of an asset-based revolving credit facility. Proceeds from the offering were used, together with the proceeds of the incremental term loan B add-on facility, to refinance existing debt securities. Specialty Building Products, LLC is a leading distributor of specialty building products in North America.
