Delaware Court Sees Though Plaintiffs’ Poorly Disguised Derivative Claims

Winston received an Am Law Litigator of the Week Shout Out for securing a ruling knocking out US$300M in claims against the former board of managers of Verano Holdings LLC, a subsidiary of Verano Holdings Corp., one of the country’s largest publicly traded cannabis companies. Delaware Vice Chancellor J. Travis Laster dismissed a lawsuit brought by former minority shareholders in Verano Holdings finding the plaintiffs lost standing to bring such derivative claims after the combination that resulted in the public company took hold. Winston Scores Decisive Victory in Case Against Nation’s Largest Credit Reporting and Scoring Companies

Winston and co-counsel helped the three major credit bureaus—Equifax, TransUnion and Experian—defeat claims they colluded with credit score provider FICO to cause consumers to overpay for credit scores. U.S. District Judge Edmond Chang in the N. D. Ill. found that the plaintiffs hadn’t adequately alleged that the credit bureaus entered into a conspiracy to further FICO’s alleged monopoly and dismissed the claims against them with prejudice. Winston represented Specialty Building Products, LLC, a portfolio company of Winston client TJC, L.P., in connection with a Rule 144A/Reg. S offering of $510,000,000 aggregate principal amount of 7.750% senior secured notes due 2029 issued by Specialty Building Products Holdings, LLC and SBP Finance Corp. In connection with the notes offering, Winston also represented Specialty Building Products in connection with a $215,000,000 incremental term loan B add-on facility and the amendment and extension of an asset-based revolving credit facility. Florida’s De-Banking Rules Expansion: How Do the Office of Financial Regulation’s Proposed Rule Changes Impact Financial Institutions?

As federal and state governmental scrutiny of debanking practices intensifies, our attorneys are at the forefront, providing our clients with practical, business-focused solutions to help them navigate this complex and rapidly changing environment.

In this alert, Carl Fornaris and Fernanda Legaspe examine the Florida Financial Services Commission’s recent approval of the Florida Office of Financial Regulation’s (OFR) request to publish notices of proposed rulemaking to clarify and implement procedures under Florida House Bill 989 (HB 989). They break down what’s changing, where state and federal requirements may conflict, and concrete steps to shore up governance, documentation, and cross‑functional controls.
Following the Florida Financial Services Commission’s approval of the Florida OFR’s request to publish notices of proposed rulemaking to clarify and implement procedures under Florida’s HB 989, Florida regulators have moved to significantly expand the state’s anti–de-banking framework—reaching who may file a complaint, what can be alleged, and who must certify compliance. The OFR’s proposed rules would require an executive officer to sign the annual attestation, broaden the definition of customer to capture vendors and other business relationships, and heighten expectations around citing suspicious activity as a basis for adverse actions—raising potential tensions with federal suspicious activity report confidentiality.
