Winston & Strawn partner Ben Smolij was featured in a Q&A for Bloomberg Law’s Texas Brief, where he shared insights on IPO readiness, evolving policy dynamics, and the future of capital markets in Texas.
In the Q&A, Ben emphasized that while companies often wait for the “perfect” market window to go public, successful IPOs are driven by the right business models, fundamentals, and advisors in the long-term, rather than short-term conditions. “There’s never really a perfect moment,” he noted, “There’s always something going on—tariffs, geopolitical issues—all those things are in the background.”
Discussing the evolving legal and regulatory landscape, Ben pointed to activity at both the state and federal levels, including efforts in Delaware to “keep its reins on the corporate domicile universe that it formed,” and challenges to the SEC’s Rule 14a-9. “But at the end of the day, the direction of travel is clear: In the near-term, there will be a focus on capital formation,” he emphasized. “There will be a growing number of companies coming to Texas. There’ll be more companies listed in Texas. I don’t see anything changing that in the short- to medium-term.”
