Exelon Corporation $775 Million 4.950% Notes due 2036 Offering
In Winston’s ongoing role as designated underwriters’ counsel to the Exelon Corporation family of public companies, we served as underwriters’ counsel to Barclays, Citigroup, Goldman Sachs & Co. LLC, J.P. Morgan and Morgan Stanley, as joint book-running managers, in connection with the registered public offering of $775 million aggregate principal amount of 4.950% Notes due 2036 issued by Exelon Corporation. The notes mature on March 15, 2036 and bear interest at a rate of 4.950% per annum, payable semi-annually on March 15 and September 15 of each year, commencing September 15, 2026.

Fries, Inc. d/b/a Claxton Poultry Farms in a series of 15+ antitrust class actions consolidated in the Northern District of Illinois and brought by plaintiffs who allege that Claxton and the nation’s other largest poultry producers conspired to fix the price of broiler chickens in a scheme from 2008 to 2016 that raised the price for broiler chickens by artificially reducing supply.

Boral Capital LLC and Craft Capital Management LLC in connection with the US$15M initial public offering of American Depositary Shares (ADSs) of Robot Consulting Co., Ltd. The offering consisted of 3,750,000 ADSs priced at $4.00 per ADS, and the company’s ADSs began trading on the Nasdaq Capital Market under the ticker symbol “LAWR” on July 17, 2025.

Colloquially referred to as the “patent dance,” the BPCIA provides a framework that includes certain steps and a schedule during which the applicant and reference product sponsor exchange confidential information disclosed in the aBLA. During the patent dance, the applicant and sponsor identify the patents that could be litigated in the future during two potential phases of litigation. In the first phase, the sponsor can allege infringement of a subset of the patents identified during the patent dance. The second phase begins after the sponsor receives the Notice of Commercial Marketing from the applicant. During this second phase, the sponsor can assert any remaining patents that were not asserted in the first phase.
