ESOP Class Claims Flop

After an eleven-day bench trial in January 2023, the N.D. Ill. delivered a full defense verdict in March 2025 in an ERISA class action brought by participants in Segerdahl Corporation’s ESOP. The court rejected the class claims against Segerdahl, its ESOP trustee GreatBanc Trust Company, and various individual defendants including board members Bob Cronin, Rod Goldstein, and Peter Mason, alleging that Segerdahl could have sold for a significantly higher price, which would have increased post-sale distributions to the ESOP participants. Winston Scores Decisive Victory in Case Against Nation’s Largest Credit Reporting and Scoring Companies

Winston and co-counsel helped the three major credit bureaus—Equifax, TransUnion and Experian—defeat claims they colluded with credit score provider FICO to cause consumers to overpay for credit scores. U.S. District Judge Edmond Chang in the N. D. Ill. found that the plaintiffs hadn’t adequately alleged that the credit bureaus entered into a conspiracy to further FICO’s alleged monopoly and dismissed the claims against them with prejudice. Winston Achieves Historic No-Damages Summary Judgment for Microsoft in Patent Case

Exafer sued Microsoft for patent infringement over certain components of the Azure networking infrastructure. After successfully excluding Exafer’s damages expert, Winston secured a rare summary judgment of no damages, resulting in a complete victory for Microsoft. The court found Exafer lacked evidence sufficient to support any non-speculative award of damages, resolving all claims in Microsoft's favor. This is the first no-damages summary judgment in a W.D. On November 13, 2025, following the end of the federal government shutdown, the Securities and Exchange Commission (SEC) issued guidance that offers much‑needed clarity to issuers, underwriters, and advisors navigating filings made during and immediately after the shutdown. With more than 900 registration statements filed during the shutdown, questions quickly mounted regarding automatic effectiveness, the treatment of missing information under Rule 430A, acceleration mechanics, and the status of filings already in the review pipeline.
