Winston Blunts Earnout Payment

Following a bench trial in Fall 2024, a New York trial court ruled in March 2025 that Cresco Labs, Inc. was not required to pay a US$45M earnout under a merger agreement. The court found that Cresco did not receive “commercially reasonable access” to New York’s adult-use cannabis market, which was supposed to be subject only to a non-competitive application or approval process. Adopting Cresco’s arguments, the court determined that only the Office of Cannabis Management and Cannabis Control Board could decide when and how applicants access the adult-use market. The court agreed that regulators required Cresco to pay a significant one-time fee, prioritized other applicants, and had broad discretion over approvals. This win supports claims that New York’s adult-use program lacks details and clear entry paths, frustrating industry leaders’ efforts to develop a robust adult-use market....Read more

Winston Scores Decisive Victory in Case Against Nation’s Largest Credit Reporting and Scoring Companies

Winston and co-counsel helped the three major credit bureaus—Equifax, TransUnion and Experian—defeat claims they colluded with credit score provider FICO to cause consumers to overpay for credit scores. U.S. District Judge Edmond Chang in the N. D. Ill. found that the plaintiffs hadn’t adequately alleged that the credit bureaus entered into a conspiracy to further FICO’s alleged monopoly and dismissed the claims against them with prejudice. Winston & Strawn LLP served as underwriters' counsel to SPAC Advisory Partner LLC, Inc. in connection with the initial public offering (IPO) of GSR III Acquisition Corp., a blank check company. The IPO closed on November 7, 2024, raising gross proceeds of $230,000,000 through the sale of 23,000,000 units at $10.00 per unit. This offering reflects the full exercise of the underwriters’ over-allotment option. Each unit consists of one Class A ordinary share and one-seventh of one right, with each whole right entitling the holder to receive one additional Class A ordinary share upon the consummation of an initial business combination. FinCEN Issues Proposed Rule to Delay the Investment Adviser AML Rule by Two Years

Last month, we published an alert about the U.S. Department of the Treasury’s Financial Crimes Enforcement Network (FinCEN) order providing exemptive relief for covered investment advisers from certain anti-money laundering and combating the financing of terrorism  program and other Bank Secrecy Act-related reporting, recordkeeping and information-sharing obligations (IA AML Rule) until January 1, 2028. The IA AML Rule, published by FinCEN as a final rule on September 4, 2024, is currently set to become effective on January 1, 2026. 
On September 22, 2025, FinCEN published a notice of proposed rulemaking to amend the IA AML Rule to delay its effective date by two years, from January 1, 2026 to January 1, 2028.
