Banee focuses her practice on health care law, including transactional, regulatory, and compliance matters. She serves as health care regulatory counsel for private equity and other financial investors in health care transactions. She represents hospitals, health systems, post-acute providers, and physician groups in mergers, acquisitions, divestitures, joint ventures, and other collaborative and alignment strategies. Banee brings significant health care regulatory experience to transactions and advises with respect to transaction structure, health care regulatory notifications and consents, due diligence, and negotiation of transaction documents.

Additionally, Banee frequently advises clients with respect to fraud and abuse laws, including the Stark Law, state and federal anti-kickback laws, billing compliance, and state and federal privacy laws. She assists health care clients with internal investigations, analyzing potential self-disclosures, and developing compliance programs.

Banee is frequently invited to speak on private equity investments of physician practices. She wrote a chapter for the Thomson Reuters Health Law Handbook discussing private equity transactions involving physician practices. She is also recognized by Chambers USA as “Up and Coming” for Healthcare in Texas.

Before transitioning to full-time legal practice, Banee worked as a legal intern at the U.S. Department of Health & Human Services, Office of the General Counsel, Region 6 from 2011 to 2012.

  • Represented private equity clients and portfolio companies in acquisitions of physician practices across various specialties, including ophthalmology, orthopedics, gastroenterology, cosmetic surgery, dermatology, reproductive endocrinology and infertility, and emergency medicine throughout the United States
  • Represented private equity clients and portfolio companies in acquisitions of home health agencies and hospice programs
  • Represented a private equity post-acute portfolio company in joint ventures involving non-profit health systems
  • Represented a private equity client in the acquisition of a national optometry management services company
  • Represented a health system in a joint venture arrangement with a physician-owned urgent care operator
  • Represented a health system in the sale of its dialysis business line to a national dialysis company
  • Represented a national ambulatory care company in connection with qui tam federal anti-kickback action and related investigation
  • Served as a compliance coordinator for a national for-profit hospital company, including conducting quarterly calls with the organization’s Chief Compliance Officer and participating in compliance site assessments at hospitals throughout the United States
  • Conducted compliance reviews relating to physician relationships for a large national hospital company
  • Served as outside general counsel to a community hospital system which included advising the hospital system with respect to physician recruitment and employment, hospital-based agreements, and other physician contractual and alignment issues
  • Conducted an internal audit of a health system’s contracts for Stark Law and federal Anti-Kickback Statute compliance
