Jennifer regularly counsels clients in a variety of business transactions, with a particular focus on representing private equity funds and public and private companies in connection with acquisitions, dispositions, recapitalizations, joint ventures, and public and private securities offerings. Jennifer also advises companies in a myriad of industries with respect to general corporate matters, add-on acquisitions, securities law matters, initial public offerings, and private placements of securities.
Key Matters
- Represented the California State Teachers' Retirement Fund (CalSTRS) in a strategic co-investment of $300 million, in collaboration with Blackstone, CDPQ, and GIC, three prominent global investment firms. The co-investment comprised a portion of the financing of Citrin Cooperman, a leading advisory, tax, and business consulting firm.
- Represented CalSTRS in connection with its $300 million strategic co-investment in partnership with Apax Partners, a leading global private equity firm. CalSTRS's co-investment was directed towards the acquisition of CohnReznick, a prominent advisory, assurance, and tax firm.
- Represented GenNx360 Capital Partners, a New York-based private equity firm investing in middle market business services and industrial companies, in connection with the acquisition of GenServe Inc., the largest independent provider of scheduled and emergency power generator maintenance, repair and sales in the North Atlantic region primarily serving commercial customers in various industries.
- Represented GenNx360 Capital Partners in the sale of its portfolio company, GenServe, to Aurora Capital Partners, a Los Angeles-based private equity firm.
- Represented Go2 Logistics, a Stellex Capital Partners portfolio company and a leading transportation service provider specializing in freight consolidation and less-than-truckload transportation in its acquisition of certain of the assets of Smith Transportation Services.
- Represented Insight Merchandising Holdings, a designer and manufacturer of store fixtures and displays, in an asset acquisition.
- Represented OHM Concession Group in connection with its acquisition of certain assets of Global Concessions, Inc., in a Section 363 bankruptcy sale.
- Represented WebFX, a full-service digital marketing agency, in connection with its capital investment from Trilantic North America, a growth-focused middle market private equity firm focused on control and significant minority investments in North America.
- Represented Post Capital Partners in its acquisition of Ironmark, a leading full-service provider of marketing, communications, content, and distribution services with a strong legacy in print-based marketing solutions.
- Represented Post-Ironmark Holdings in its acquisition of Vista One Marketing.
- Represented Post-Ironmark Holdings in its acquisition of American Marketing & Mailing Services, Dynamic Omni Channels, and American Marketing Systems.
- Represented Intermetro Fiber, a Florida-based fiber optic infrastructure provider, in its sale to a fund managed by affiliates of Blue Owl Capital.
- Represented RKON Holdings, an IT transformation and cybersecurity services provider in connection with its acquisition of Scalable Security, a California based provider of cloud security consulting services.
- Represented Seaport Capital (“Seaport”), a lower middle-market buyout firm based in New York, in its recapitalization of Exacom, a leader in the multimedia recording market for critical communications. Based in New Hampshire, Exacom’s technology supports the recording of audio, VoIP, data, and text-to-911 into digital formats for data collection, analysis, and management.
- Represented Seaport Capital in its minority investment in a newly formed subsidiary of FMC GlobalSat Holdings.
- Represented ShelterPoint Group, a leading provider of statutory disability, paid family and medical leave, as well as medical gap insurance products, in connection with the acquisition of ShelterPoint by Protective Life Corporation, a U.S. subsidiary of Dai-ichi Life Holdings.
- Represented Revelstoke Capital Partners, a Denver-based healthcare services private equity firm, in its investment in The Care Team, one of the largest home health and hospice agencies in the Great Lakes region, to support its growth objectives and continued focus on delivering the highest quality care.
- Advised The Care Team, a portfolio company of Revelstoke Capital Partners, in its acquisition of 1st Care Home Health Services and Care Hospice Services. 1st Care At Home is a Veteran-founded, locally operated family business serving a broad area, committed to providing a high performance of health care essential to the improvement of a client’s quality of life.
- Represented The Care Team in its acquisition of Arcadia Hospice of SEPA, LLC (Arcadia), a hospice provider based in Allentown, Pennsylvania
- Represented The Adaptive Group, an Indiana-based provider of non-medical personal home care services, home health services, and hospice end-of-life care services, in its sale to Help at Home, a leading U.S. home care provider delivering in-home care to seniors and persons with disabilities, and a portfolio company of Centerbridge Partners, L.P. and The Vistria Group.
- Represented Monitor Clipper Partners, a private equity firm based in Cambridge, Massachusetts, in the sale of LaserShip, a third-party logistics provider that operates in the last segment of the supply chain.
- Represented Hudson Hill Capital, a New York based private investment firm, in its acquisition of InXpress Holdings, an international franchisor of parcel, freight, and delivery logistics services for SME customers.
- Represented Stellex Capital Management, a private equity firm, in its acquisition of W&B Service Company. Headquartered outside of Dallas, Texas W&B Service Company is a Transport Refrigeration and Semi-Trailer dealer providing new equipment, used equipment, parts, and service.
- Represented Stellex Capital Management in its acquisition of Weber Logistics, a third-party logistics company that speeds port-to-market product distribution.
- Represented Stellex Capital Management in its acquisition of Go2 Logistics, a transportation and logistics service provider focused on the freight consolidation and LTL market.
- Represented Stellex Capital Management, and its affiliates, in its acquisition of Omaha-based The James Skinner (f/k/a The James Skinner Co.), a producer, manufacturer, seller, and distributor of pastry products to supermarkets and pastry companies throughout the United States, Mexico, and Puerto Rico.
- Represented Stellex Capital Management in its acquisition of Country Fresh and Sun Rich USA, two divisions previously part of the Fresh Food Group, which operates as a standalone company under the “Country Fresh” name. Country Fresh is a premier, full-service, fresh- food solutions partner for retail, foodservice, club, and convenience stores.
- Represented Stellex Capital Management in its acquisition of Custom Made Meals, a leading U.S. provider of fresh, handmade entrees and sides for grocery retailers, from New Water Capital.
- Represented Post Capital Partners, a New York-based private equity firm, in its sale of EC Waste, LLC, a leading provider of non-hazardous waste management and disposal services in Puerto Rico to 3i Group plc, a London-based international investment company focusing on private equity and infrastructure.
- Represented Post Capital Partners, a private investment firm, in its acquisition of Chicago-based RKON, a provider of IT services and solutions, including managed IT and cyber security services, professional services, and subscription software resale.
- Represented Post Capital Partners in its acquisition of Newcourse Communications, a Nashville, TN-based full-service data-processing and print-&-mail provider for financial institutions.
- Represented Post Capital Partners in its acquisition of Agile Sourcing Partners, a Business Process Outsourcing (BPO) leader that provides a range of supply chain, administrative and professional services to the electric and gas utility, commercial construction, security, and telecommunications industries.
- Represented Eos Partners, a private investment firm, in its acquisition of Legacy Supply Chain Holdings, a provider of third party logistics and services.
- Represented Eos Partners in its acquisition of BeavEx, a provider of same-day delivery and last-mile logistics services.
- Represented Eos Partners in its investment in Roadrunner Dawes, a Less-than-Truckload (LTL) freight services provider in the United States.
- Represented Eos Partners in its acquisition of Texas-based Gulf Pacific and Southwest Spice, leading producers, stores, customers, distributors, transporters, sellers, and marketers of rice, beans, spices, and other dry goods.
- Represented Eos Partners in its acquisition of RCG Global Services, a global digital transformation consultancy providing product engineering, advanced analytics, and cloud services to Fortune 1000 enterprises, from Reliance Insurance Company.
- Represented RCG Global Services in its majority recapitalization by Frontenac, a Chicago-based private equity firm.
- Represented Eos Partners in the acquisition of Kaolin Mushroom Farms, Inc. and South Mill Mushrooms and related real property from 11 of their affiliates.
- Represented Onex Falcon in its preferred equity investment in Heatonist, a wholesale, retail, and direct to consumer purveyor of fine hot sauces.
- Represented South Mill Mushrooms, a portfolio company Eos Partners, in the add-on acquisition of Champ’s Mushrooms.
- Represented SweetWater Brewing, one of the largest independent craft brewers in the United States, in connection with an investment by TSG Consumer Partners.
- Represented SweetWater Brewing in its sale to Aphria Inc. (Aphria) (TSX: APHA) (Nasdaq: APHA), a leading global cannabis company based in Canada.
- Represented Exacom, a portfolio company of Seaport Capital, a New York-based private equity firm in its acquisition of SecuLore Solutions, adding security services to its cybersecurity solutions for public safety, critical infrastructure, and local governments.
- Represented Exacom in connection with its sale to Motorola Solutions Inc.
- Represented Hudson Ferry Capital, a Stamford, CT-based private equity fund, in its sale of Ground/Water Treatment & Technology, a leading U.S. groundwater treatment company that self-performs system design; civil, electrical, and mechanical site work; equipment fabrication and customization; dewatering; and licensed operation and maintenance service for groundwater treatment systems, to an affiliate of Ember Infrastructure, a private equity fund focused on infrastructure solutions.
- Represented Lux Credit Consultants (dba Buggy) in its acquisition of Fast Track Leasing, a fleet management & specialty finance company serving the for-hire vehicle market in NYC.
