Eric Knickrehm represents private equity firms and strategic investors in complex healthcare M&A transactions and regulatory matters, with particular depth in healthcare services and a strategic focus on PE investment in law firms—an emerging asset class where he applies his cross-sector experience to Management Services Organization (MSO) structures, bar rule compliance, and multi-state regulatory pathways. Drawing on deep experience in ownership restrictions and alternative practice structures, Eric structures and executes investments in industries where regulatory complexity creates both barriers to entry and opportunities for sophisticated dealmakers.

Eric Knickrehm is a partner in Winston & Strawn's Washington, D.C. office. He represents private equity sponsors, investors, and professional services businesses in structuring and executing mergers, acquisitions, platform formations, and strategic transactions across multiple regulated industries. With particular depth in healthcare services and a growing focus on legal, accounting, and engineering firm M&A, Eric navigates the ownership rules, licensing requirements, and regulatory constraints that shape deal dynamics in these industries.

Healthcare

Eric's practice is anchored in healthcare provider services—including physician practices, dental organizations, hospice and home health agencies, behavioral health platforms, and ambulatory surgery centers. Eric has closed hundreds of healthcare transactions, representing private equity firms in platform formations and add-on acquisitions across specialty practices including ophthalmology, dermatology, orthopedics, occupational health, behavioral health, and physical therapy. He navigates the full spectrum of healthcare regulatory matters implicated in M&A transactions, including anti-kickback compliance, state corporate practice and fee-splitting prohibitions, licensure requirements, and healthcare transaction filing obligations. His integrated transactional and regulatory approach bridges deal execution and compliance, delivering actionable solutions to the strategic and operational issues facing healthcare investors and providers.

Professional Services

More recently, Eric has established a professional services M&A practice focused on law firm investments and legal services transactions—an emerging asset class attracting increasing PE interest. He is one of a small number of attorneys nationally with hands-on experience structuring institutional investments in both accounting firms and law firms under alternative practice, alternative business, and MSO structures involving professional responsibility and ownership rules. His experience structuring compliant ownership arrangements in healthcare—where corporate practice doctrines and fee-splitting rules mirror the restrictions governing law and accounting firms—equips him to apply tested playbooks to these emerging asset classes. He develops thoughtful structures that unlock capital for growth while maintaining compliance with state regulatory and professional ethics requirements.

Troubleshooting Complex, Regulated Deals

Across his practice, Eric addresses recurring deal issues including restrictive covenants, earnout and compensation structuring for licensed professionals, ownership transition planning, and regulatory change management.

Looking Ahead

As private equity capital increasingly flows into professional services—including law firms, accounting practices, and engineering firms—Eric is expanding his practice to meet sponsor demand for counsel who understands how to structure compliant investments in these regulated sectors.

Eric is widely recognized for his work in healthcare M&A and his expanding presence in professional services transactions.
