Health care investors and providers look to Eric to advise them on a variety of complex transactional, financing, enforcement, and regulatory matters within the health care, life sciences, and digital health industries. He excels at bridging the gap between corporate and health care regulatory knowledge to provide practical guidance to his clients.

 

Eric counsels health care industry clients, private equity firms, and other investors on structuring and negotiating mergers and acquisitions, joint ventures, affiliations, and a variety of contractual arrangements and general business transactions.

He utilizes his transactional focus and significant health regulatory experience to provide effective legal counsel regarding the complex, strategic, and operational issues facing health care investors, health care services providers, life sciences companies, and digital health companies.

Eric serves principally as counsel to private equity funds, public and private companies, hospice providers, home health agencies, physician practices, dental practices, hospitals, and strategic investors in connection with a wide range of transactional, regulatory, and corporate structure and governance matters. He counsels clients on general corporate matters, anti-kickback and Stark issues, state corporate practice and fee-splitting prohibitions, licensure requirements, and state health care transaction filings. Eric has also assisted clients with revising and developing compliance plans and implementing compliance programs.

Eric has advised on hundreds of transactions in the health care and life sciences industries, including physician/dental practice management platforms, ambulatory surgery centers, hospice agencies, home health agencies, pharma services, device manufacturers and distributors, and behavioral health as well as hospitals and health systems, among others.

In addition to his health care transactional practice, Eric also has experience advising accounting firms and investors regarding accounting firm alternative practice structure and transactions utilizing that structure.

Before transitioning to a full-time legal practice, Eric served in the Office of Legislation at the Centers for Medicare & Medicaid Services, where he helped develop and implement notable health care laws such as the Medicare Access and CHIP Reauthorization Act and the 21stCentury Cures Act.

  • Counseled an Arizona-based hospice agency in its sale to a leading publicly traded in home care company.
  • Advised a national ophthalmology, optometry, and ambulatory surgical center management company in its sale to a leading private equity firm.
  • Counseled a healthcare focused private equity firm in the formation of its orthopedic practice management portfolio company and that company's investment in a Florida orthopedic practice.
  • Counseled a Chicago-based private equity firm in the formation of its ophthalmology practice management portfolio company and that company's affiliation with over a dozen ophthalmology and optometry practices in Georgia, Florida, Tennessee, Alabama, Louisiana, and Texas.
  • Represented a private equity firm in the formation of its otolaryngology (ENT)/allergy practice management portfolio company and that company’s affiliation with an ENT and allergy practice, audiology practice, and ASCs in Georgia.
  • Counseled an orthopedic practice management company in several add-on acquisitions in Florida and Colorado.
  • Advised a private equity firm in its acquisition of a national leader in on-site health clinics, personal health assessments, and wellness programs.
  • Counseled a healthcare focused private equity firm in its acquisition of a physician practice management company and its affiliate practices that provide general, orthopedic and trauma surgical hospitalist programs to acute-care hospitals.
  • Represented a Pennsylvania-based private equity firm in the formation of its dermatology practice management portfolio company and that company's its acquisition of a leading dermatology group in South Florida.
  • Advised a large dermatology practice in its add-on acquisitions of several groups across Florida.
  • Counseled a Nashville-based private equity firm in the formation of its substance abuse practice management portfolio company and that company's affiliation with a physician practices providing office-based opioid treatment (OBOT) and outpatient counseling services across Massachusetts, Vermont, Delaware, and New Jersey.
  • Represented a private equity firm in the formation of its physician practice management portfolio company and that company's affiliation with a New Jersey-based provider of integrated behavioral and medical health services to the pediatric special needs population.
  • Counseled an orthopedic practice management company in a strategic add-on acquisition in Connecticut.
  • Represented a leading provider of transcranial magnetic stimulation (TMS) therapy in several add-on acquisitions across the country, including California, Ohio, Missouri, Connecticut, Texas, Illinois, and Florida.
  • Advised a private equity firm in its formation of its occupational health practice management portfolio company and that company's add-on acquisitions of occupational medical clinics in California.
