Regularly recognized as one of the country's top attorneys in mergers and acquisitions, corporate governance, corporate finance, and joint venture work, Oscar is a co-chair of the firm's Consumer Products Industry Group, and he was formerly chair of the firm’s M&A, Securities, and Corporate Governance practice. He serves as a trusted, strategic advisor to his clients and their C Suite executives and boards of directors. His clients include major public and privately-held businesses, family held businesses and private equity funds.

Oscar has extensive experience in transactions that range from middle market to complex, cross-border mergers, acquisitions, joint ventures, and corporate finance and governance matters.

He is recognized as a leader in M&A law by prestigious publications, including Chambers USA, where his clients report that he “combines deep legal knowledge with a very practical, solution-oriented approach.”

His clients cross a number of industries, including technology, manufacturing, private equity, and pharmaceuticals, and include: Corning Incorporated; Motorola Solutions, Inc.; Abbott Laboratories; FreightCar America; Activision Blizzard; 4C Insights; HCI Equity Partners; CIVC Partners; Waud Capital Partners; and Loop Capital Markets LLC.

  • Under his leadership, Winston & Strawn has represented Motorola Solutions in a variety of consummated transactions, including:
    • US$3.5B divestiture of its enterprise business to Zebra Technologies
    • US$1.1B divestiture of its wireless network infrastructure business to Nokia Siemens Networks
    • US$1.1B purchase of equity from Carl Icahn
    • US$3.9B Symbol Technologies acquisition
    • US$300M equity investment in Clearwire Corporation as part of an aggregate US$1B investment by Intel Capital and investors
    • US$1.6B divestiture of its semiconductor components chip group and a number of equity investment and securities transactions.
  • Represented Corning Incorporated in connection with various transactions and corporate governance matters including:
    • Disposition of Cormetech, Inc., a leading innovator and manufacturer of high-quality environmental catalysts and services for the power, marine, industrial-process, refinery, and petrochemical markets (Oscar also represented Mitsubishi Heavy Industries, Corning's JV partner in Cormetech, in the transaction)
    • Acquisition of life sciences company Vacca Biologics
    • Acquisition of TR Manufacturing, a provider of fiber-optic and copper cable/components and electro-mechanical assemblies to OEMs in various technology industries.
  • Represented Abbott Laboratories in its ground-breaking joint venture with New Zealand-based Fonterra Co-operative Group Ltd in China, which will operate a hub of dairy farms.
  • Represented 4C Insights, a data science software company, in the acquisition of Netherlands-based Teletrax and various equity issuances.
  • Represented The Vistria Group in its acquisition of a company in the K – 12 education delivery content and procurement services business.
  • Represented Fairfax Media Limited, a public company based in Australia, and Illinois-based Farm Progress in connection with the sale of Farm Progress to private equity owned Penton Media.
  • Represented Waud Capital Partners in the recapitalization of Maxum Petroleum, and in connection with a controlling investment in Maxum by an affiliate of Pilot Travel Centers.
  • Represented venture capital firms and corporate venture investors in more than two dozen venture capital financings as well as various exit transactions.

Oscar has been on the list of “40 Under 40” rising stars in business, government, and the arts by Crain’s Business Journal. In addition to the Chambers USA recognition, he was recognized in the Legal 500 U.S. Hall of Fame and as a “Leading Lawyer” for M&A: Middle-Market from 2020–2024.  He is among 15 attorneys in Chicago who was recognized by the Global Counsel 3000 in the areas of corporate finance, mergers and acquisitions, and joint ventures. He has been listed in The Best Lawyers in America since 2010 in M&A Law. Global M&A Network recognized him in 2013 and 2014 as one of the Top 50 Americas M&A Dealmakers. He was also the recipient of the Chicago Project for Violence Prevention’s Annual Corporate Service Award (2002). Oscar actively participates in the firm’s mentoring program for new associates and was recognized as “Mentor of the Year” (2014).

Oscar serves on the Board of Trustees of The Field Museum of Natural History, Chicago, Illinois. He also serves on the board of directors of Cure Violence, the mission of which is to reduce violence globally using disease control and behavior change methods. He also is a member of the Economic Club of Chicago, and has been a guest lecturer at the J.L. Kellogg Graduate School of Management, Northwestern University.
