Daniela Cohen specialises in UK and cross-border debt financing transactions, including leveraged buyout financings, restructurings, and syndicated direct lender and club transactions, as well as in structured finance, project and infrastructure finance, and general secured lending transactions. 

Daniela concentrates her practice on cross-border as well as domestic banking and debt finance transactions, including acquisition financings, general corporate lending, restructurings, arena and stadium finance, infrastructure finance and structured finance. She has complementary experience in a variety of corporate matters.

Daniela has represented clients in lending transactions involving a multitude of sectors, including sports, insurance, music & entertainment, real estate, industrials, hospitality, energy & infrastructure, consumer products, technology, financial services and others. She has represented institutional lenders, non-bank lenders, equity sponsors, insurance companies and other institutional investors, as well as publicly and privately held corporate borrowers.

  • Ares Commercial Finance in connection with a senior secured cross-border credit facility to PlayMonster LLC, a leading international toy and game company.
  • The lead arranger in connection with a c. US$2B financing for a global packaging business.
  • The lender in connection with the refinancing of TaylorMade Golf Company, Inc. as part of its sale to South Korea-based Centroid Investment Partners.
  • Other key clients include: BMO, Bank of Ireland, Barings, LLC, BNP Paribas, Mizuho.
Acquisition Finance, Corporate Finance & ABL (borrower) 
  • Hudson Hill Capital, a New York based private investment firm, in connection with the financing for its leveraged buy-out of InXpress Holdings, a UK based global provider of courier services to SMEs.
  • Hiscox Group, international insurance group, on its US$825M Letter of Credit and working capital financing. 
  • Argand Partners, a New York and San Francisco based private equity firm, in connection with the financing for its £150M acquisition of UK-based carpet maker, Brintons Carpets, from The Carlyle Group.
  • Atlas Holdings in connection with the disposal of ASG Poland and its subsidiaries to China-based packaging solution manufacturer GPA Global. ASG is a specialized packaging company that provides innovative end-to-end solutions for the world’s premier consumer and media brands.
  • Cycle Pharmaceuticals, a global biotechnology company focused on developing and delivering medicines for rare diseases, in connection with an investment by Deutsche Bank AG. 
  • General American Capital Partners in connection with the financing for its €100M acquisition of Football Club des Girondins De Bordeaux SA (Bordeaux FC). 
  • Capdesia Group in connection with its investment in Wasabi, the international fast food restaurant chain.
  • Other key clients include: AGI Global, SF Holdings Corp, Kensington Development Partners and IM Properties.
Arena Finance and Infrastructure Finance
  • JPMorgan Chase in connection with the financing of the construction and development of a £275M Co-Op Live arena in Manchester, UK.
  • JPMorgan Chase in connection with financings for the Edmonton Oilers professional ice hockey club.
  • US and UK institutional investors in respect of their investments in whole business securitisations, as well as in connection with a new £10B midco ringfenced financing, of leading UK water utility companies.
Non-bank Lenders
  • Ares Management in connection with bespoke legal reviews of potential European debt investments.
  • StepStone Group, a global private markets investment firm, on significant secondary portfolio transactions.
  • Other key clients include: Corrum Capital, Investec, Hayfin.
Structured Finance
  • CoVenture, a multi-disciplinary alternative asset manager focused on investing across the capital structure of technology companies, in connection with various credit facilities.
Restructuring
  • Abercross Holdings, a UK based private equity house, in the financial restructuring of Typhoo Tea Limited and related acquisition of a controlling interest in Typhoo by Zetland Capital.

Education

Daniela received her Master of Laws from the University of Vienna, Austria in 2007. She received her Postgraduate Diploma in Law in 2008 from the BPP Law School in London, where she also completed the Legal Practice Course in 2009 (with Distinction).
