They also advise Latin American issuers and placement agents/initial purchasers in public and private offerings of equity and debt securities, as well as Latin American companies, governments and quasi-governmental entities in corporate, structured, and project finance transactions. Our corporate team advises clients in Latin America on some of the most innovative and complex transactions globally.

The firm’s Latin America & Caribbean litigation practice concentrates on commercial disputes involving companies in Latin America and the Caribbean or companies with interests in the region. Our arbitration group is known for its involvement in investor-state cases, often advising private investors, sovereign states, and state-owned entities. They are well versed in proceedings before a number of arbitral panels, including ICSID and the ICC. Winston has decades of experience representing clients in international arbitrations and enforcing awards around the world.

Winston & Strawn’s São Paulo office reflects the firm’s long-term investment in Brazil and the significant commitment of Winston’s Latin America practice group members to Brazil over many decades. Our fully bilingual São Paulo-based lawyers work with the Latin America team and others through the firm to represent Brazilian and international clients in transactional and disputes matters such as banking and finance, capital markets (including SPACs), corporate, joint ventures, mergers and acquisitions, private equity and venture capital (including fund formation), project finance, real estate, restructurings, tax, securities, antitrust, compliance, dispute resolution, environmental, exchange control, FCPA, international arbitration, labor, maritime, sanctions, and trade.

Winston’s Latin America team members have represented clients in transactions ranging in size from US$30 billion to smaller venture capital and other investments. We have been early innovators in adapting international deal structures to local Brazilian legal and regulatory requirements. Lawyers in our Latin America group have been involved in over 200 M&A, capital markets and finance transactions involving Brazilian companies. Our disputes practice has represented international clients before most of the major international arbitration tribunals and U.S. courts.
