Winston & Strawn LLP represented Greenland Exploration Limited in a landmark business combination with Pelican Acquisition Corporation (NASDAQ: PELI) and March GL Company. The transaction, structured as a merger agreement, will result in the formation of Greenland Energy Company, expected to be publicly listed on NASDAQ under the ticker symbol “GLND.” Winston advised Greenland Exploration on all aspects of the deal, including regulatory strategy, corporate structuring, and negotiation of the merger terms.

Voyager Acquisition Corp. and VERAXA Biotech Announce Business Combination
Winston & Strawn represented Voyager Acquisition Corp. in its announced business combination agreement with VERAXA Biotech AG, a biopharmaceutical company developing next-generation antibody-based cancer therapies. The combination will result in VERAXA becoming a publicly traded company on Nasdaq under the ticker symbol “VERX”, with a pre-money equity valuation of $1.3 billion and up to $253 million in cash held in trust by Voyager. The transaction is expected to close in the fourth quarter of 2025, subject to regulatory and shareholder approvals.

Winston Blunts Earnout Payment
Following a bench trial in Fall 2024, a New York trial court ruled in March 2025 that Cresco Labs, Inc. was not required to pay a US$45M earnout under a merger agreement. The court found that Cresco did not receive “commercially reasonable access” to New York’s adult-use cannabis market, which was supposed to be subject only to a non-competitive application or approval process. Adopting Cresco’s arguments, the court determined that only the Office of Cannabis Management and Cannabis Control Board could decide when and how applicants access the adult-use market. The court agreed that regulators required Cresco to pay a significant one-time fee, prioritized other applicants, and had broad discretion over approvals. This win supports claims that New York’s adult-use program lacks details and clear entry paths, frustrating industry leaders’ efforts to develop a robust adult-use market.
