US$600 million Total Play Telecomunicaciones S.A.P.I. de C.V. Offer to Exchange Senior Notes
Winston & Strawn represented Total Play Telecomunicaciones, S.A.P.I. de C.V. (“Total Play”), a leading telecommunications company in Mexico, in connection with the offer to exchange (a) up to US$600M of its outstanding 6.375% Senior Notes due 2028 (the “Existing Notes”) for newly issued 11.125% Senior Secured Notes due 2032 (the “New Notes”) and (b) a cash payment by each tendering holder of U.S.$450 for each U.S.$1,000 in Existing Notes tendered by such holder (the “New Money Deposits”) for newly issued New Notes. Total Play also solicited holders for their consent to certain proposed amendments to the Existing Notes. The issuance of the New Notes was issued pursuant to Rule 144A under the Securities Act and outside the United States pursuant to Regulation S under the Securities Act.

Winston advises in a landmark telecom transaction across Central America
Winston & Strawn LLP advised Millicom International Cellular S.A. (Millicom) in an agreement with SBA Communications Corporation (SBA Communications) to sell and leaseback a tower portfolio of approximately 7,000 towers in Guatemala, Honduras, Panama, El Salvador, and Nicaragua for approximately US$975 million. In addition, the parties have agreed to enter into a build-to-suit agreement under which SBA Communications will build up to 2,500 additional sites, further solidifying the partnership.

What Is Communications Privacy Law?
Communications privacy law in the U.S. is addressed in the Electronic Communications Privacy Act (ECPA) and within other federal laws, such as the Telecommunications Act. The ECPA of 1986 makes it a crime to intercept wire, voice, or electronic communications. The Act also outlines interception procedures involving law enforcement. The Stored Communications Act, which is often referred to in conjunction with ECPA, protects electronic communications’ privacy and determines how government may legally access stored communications.
