Advised SQM on US$600M offering of subordinated capital notes due 2056 (Hybrid Bond Offering)
Winston & Strawn LLP advised longstanding client Sociedad Química y Minera de Chile S.A. (“SQM”) (NYSE: SQM) on its US$600 million offering of subordinated capital notes. The notes were offered in the United States pursuant to Rule 144A and outside the United States pursuant to Regulation S.The subordinated capital notes are due in 2056 and constitute SQM’s first international hybrid bond issuance, structured to be consistent with SQM’s recent UF 10 million (approximately US$ 430 million) Series S hybrid-subordinated bond issuance in the Chilean securities market. The notes bear an initial annual interest rate of 5.625% and are subject to reset on April 22, 2031 (the “First Reset Date”), and on every fifth anniversary thereafter, based on a spread over the 5-year U.S. Treasury bond rate, with interest rate step-ups on the fifth and twentieth anniversaries of the First Reset Date. The transaction closed on January 22, 2026.BofA Securities, Inc., Goldman Sachs & Co. LLC, J.P. Banesco USA acquires BayFirst Financial’s SBA loan division business
Winston represented Banesco USA in its acquisition of BayFirst Financial’s SBA lending business. Through the acquisition of the SBA lending business and a portfolio of SBA 7(a) loans, Banesco USA gains the infrastructure, expertise, and enhanced capabilities to deliver SBA lending on a national scale. It marks a significant step in the bank’s growth strategy, enabling it to expand its lending nationally, enhance the ability to better serve small and mid-sized businesses, and diversify its offerings. Banesco USA is an independent Florida state-chartered bank and is part of the Banesco International financial brand of banks operating in multiple countries. Enrique Martin, partner in Winston’s M&A Practice group, led the transaction for Banesco USA and was assisted by counsel Jennifer Olivestone and associate Caitlin Calvo.

Andrew Hinkes Discusses Prediction Market Litigation and CFTC Authority with Bloomberg Law
Winston & Strawn partner Andrew Hinkes was quoted in a Bloomberg Law article discussing the regulation of prediction markets and the scope of the Commodity Futures Trading Commission’s authority. States argue that event contracts, which let traders wager on binary outcomes, are essentially gambling and subject to state gaming regulation, while the platforms contend they are swaps and thus fall under the CFTC’s federal “swap” rules. The CFTC filed an amicus brief in North American Derivatives Exchange Inc., v. The State of Nevada, an action currently pending In the United States Court of Appeals for the Ninth Circuit, arguing that event contracts are subject to the Commodities Exchange Act, and thus that state law on the same topic is pre-empted.
