Delaware Court Sees Though Plaintiffs’ Poorly Disguised Derivative Claims
Winston received an Am Law Litigator of the Week Shout Out for securing a ruling knocking out US$300M in claims against the former board of managers of Verano Holdings LLC, a subsidiary of Verano Holdings Corp., one of the country’s largest publicly traded cannabis companies. Delaware Vice Chancellor J. Travis Laster dismissed a lawsuit brought by former minority shareholders in Verano Holdings finding the plaintiffs lost standing to bring such derivative claims after the combination that resulted in the public company took hold. The judge issued a dismissal with prejudice in an oral ruling from the bench.

A Winston & Strawn team led by Kevin Smith represented Southern Cross Group, one of the longest standing and largest independent Latin American focused private equity fund managers, in the sale of S.I.N. Implant System, one of Brazil’s leading manufacturers of dental implants, to Henry Schein, Inc. Based in São Paulo and founded in 2003, S.I.N. manufactures an extensive line of products to perform dental implant procedures and is focused on advancing the development of value-priced dental implants. S.I.N. recently expanded the distribution of its products into the United States and other international markets.

Winston & Strawn LLP advised TORIDOLL Holdings Corp. and Capdesia Group on their recommended offer for Fulham Shore Japanese-based restaurant chain operator. TORIDOLL Holdings Corp. (TSE: 3397) has announced a recommended offer, in partnership with private equity firm Capdesia Group Ltd., for the entire issued share capital in The Fulham Shore PLC (LSE: FUL) through its UK-based subsidiary Great Sea Kitchens Ltd. Fulham Shore is a UK-based restaurant company that owns and operates, under two divisions, Franco Manca and The Real Greek. Winston & Strawn London has a long-standing relationship with Capdesia, which invests in next- generation food service operators. Our transactional team also assisted Capdesia with their investments in Wasabi Sushi & Bento and Gail’s Bakery, as well as a partnership with TORIDOLL to develop their flagship brand Marugame UDON across Europe.

On November 18, 2025, the Ninth Circuit Court of Appeals ruled to temporarily stay implementation of California SB 261, the state’s corporate climate-related financial risk reporting law, while an appeal is pending related to an industry group-led challenge to the law. In the short ruling, the Ninth Circuit denied the motion to stay implementation of the companion bill, the Climate Corporate Data Accountability Act.

What Is the Personal Information Protection Law (PIPL)?
The Personal Information Protection Law (PIPL) is a law passed by China’s National People’s Congress Standing Committee, which aims to establish a personal information protection system with Chinese features that are also in line with international standards. PIPL provides a variety of rights for personal information subjects to strengthen their control of personal information, while imposing strict obligations to personal information handlers. The law entered into effect on November 1, 2021.

ESG in finance can refer to, among other things, financing tools such as Green, Social, and Sustainability Bonds and similar ESG-related debt instruments, as well as the separate discipline of ESG Investing. ESG stands for Environmental, Social, and Governance. Investors are increasingly applying these non-financial factors as part of their analysis to identify ESG-related risks and opportunities in particular investments. ESG metrics have not historically been included in financial reporting, though companies are increasingly making disclosures in their annual report or in a standalone sustainability report, and regulatory requirements for such disclosures, including from the SEC, are expanding.
