End of the Line: Winston Wins Unanimous Supreme Court Victory Against NJ Transit

In a unanimous decision authored by Justice Sotomayor, the U.S. Supreme Court held that NJ Transit is not an arm of the State of New Jersey and therefore is not entitled to sovereign immunity. The ruling means that plaintiffs injured by NJ Transit outside of New Jersey—such as in Pennsylvania and New York—may pursue claims in the courts of the states where their injuries occurred. The court adopted Winston’s position that state-created corporations that are formally liable for their own judgments are not arms of the state, reversing the Pennsylvania Supreme Court’s dismissal of Cedric Galette’s negligence suit while affirming the New York Court of Appeals’ decision allowing Jeffrey Colt’s case to proceed....Read more

SEC and CFTC Propose Changes to Reduce Form PF Reporting Burdens

On April 20, 2026, the Securities and Exchange Commission (SEC) and the Commodity Futures Trading Commission (CFTC) (collectively, the Commissions) jointly proposed amendments to Form PF (the Proposal) that, if adopted, would significantly reduce reporting burdens for private fund advisers. The Proposal would largely unwind the comprehensive amendments to Form PF adopted in February 2024 (the 2024 Amendments) before the October 1, 2026 compliance date, primarily by increasing filing thresholds and eliminating or streamlining a number of reporting requirements.

What Are Flash Loans?

Flash loans are a subset of smart contracts where uncollateralized loans are made to a buyer and re-paid in the same series of transactions. Flash loans represent essentially risk-free arbitrage opportunities; for example, if a cryptocurrency is being traded for $1 on one exchange and for $2 on another, a savvy trader can use smart contracts to take out a flash loan of $100 worth of the cryptocurrency on the first exchange, sell it for $200 on the second exchange, repay the loan, and pocket the extra $100 as profit as part of a single instantaneous transaction. What Is Offshore Wind?

Offshore wind or OSW is a term that refers to the generation of energy using wind turbines installed over bodies of water. Unlike onshore wind farms, offshore farms typically provide higher energy production because much larger turbines can be installed offshore than on land due to stronger and more consistent winds in marine environments. The energy created by offshore wind power is a renewable energy source and produces no greenhouse gas emissions, so it is considered an important component in the transition to net-zero emissions. Offshore wind projects are regulated at both the state and federal level including environmental regulations, safety standards, and permitting and licensing requirements.
