Our REIT attorneys are experienced in the planning and implementation of a variety of organizational and real estate ownership structures used for REIT formations and transactions. We understand the complex requirements of asset ownership and character of income that must be met to qualify for pass-through tax treatment under the Internal Revenue Code. Our team has extensive experience with IPOs, private placement of debt, securitization of debt, public/private preferred and common equity offerings, PIPE transactions, recapitalizations, trust preferred securities, asset purchase and dispositions, §1031 exchanges, and mergers and acquisitions. Our experience in capital raising (via public and private securities offerings), securitization, and structured finance transactions is just as deep.

Final Treasury Regulations Issued Governing Transfers of Renewable Energy Tax Credits
On April 25, 2024, IRS and Treasury issued final regulations under Code Section 6418 (the “Final Regulations”) governing the transfer and monetization of certain Tax Credits, as permitted under the Inflation Reduction Act of 2022 (P.L. 117-169) (the IRA). The Final Regulations substantially conform to the proposed regulations that were released on June 14, 2023 (the “Proposed Regulations”), with only minimal changes. Primarily the changes that were made provide clarification to the previously articulated rules, with only limited effect to substance.

ESG, or environmental, social, and governance (ESG), Investing refers to the making of investment decisions by environmental and/or socially conscious investors based on a set of standards or requirements for a company’s behavior. Environmental criteria consider how a company protects the environment, including corporate policies addressing climate change. Social criteria examine how a company values and supports relationships with employees, suppliers, customers, and its local communities. Governance deals with, among other things, a company’s leadership, executive compensation, and shareholder rights.

ESG in finance can refer to, among other things, financing tools such as Green, Social, and Sustainability Bonds and similar ESG-related debt instruments, as well as the separate discipline of ESG Investing. ESG stands for Environmental, Social, and Governance. Investors are increasingly applying these non-financial factors as part of their analysis to identify ESG-related risks and opportunities in particular investments. ESG metrics have not historically been included in financial reporting, though companies are increasingly making disclosures in their annual report or in a standalone sustainability report, and regulatory requirements for such disclosures, including from the SEC, are expanding.
